Nokia Oyj:n varsinaisen yhtiökokouksen 2020 päätökset

 

Nokia Oyj:n varsinainen yhtiökokous pidettiin 27.5.2020 yhtiön pääkonttorissa Espoossa poikkeusjärjestelyin COVID-19-pandemian vuoksi. Kokouksessa oli edustettuna noin 43 000 osakkeenomistajaa, jotka edustivat noin 2 300 miljoonaa osaketta ja ääntä. Yhtiökokous kannatti kaikkia hallituksen yhtiökokoukselle tekemiä ehdotuksia vähintään 86 prosentilla annetuista äänistä ja hylkäsi osakkeenomistajan ehdotuksen yhtiöjärjestyksen muuttamiseksi. Yhtiökokous vahvisti yhtiön tilinpäätöksen, myönsi vastuuvapauden hallituksen jäsenille ja toimitusjohtajalle tilikaudelta 2019 sekä vahvisti yhtiön toimielinten palkitsemispolitiikan. Lisäksi yhtiökokous päätti seuraavista asioista:

Hallituksen ja hallituksen valiokuntien jäsenet sekä hallituksen palkkiot

 

Yhtiökokous valitsi hallitukseen yhdeksän jäsentä. Seuraavat hallituksen jäsenet valittiin uudelleen toimikaudeksi, joka jatkuu vuoden seuraavan varsinaisen yhtiökokouksen päättymiseen saakka: Sari Baldauf, Bruce Brown, Jeanette Horan, Edward Kozel, Elizabeth Nelson, Søren Skou, Carla Smits-Nusteling ja Kari Stadigh. Lisäksi Thomas Dannenfeldt valittiin uutena jäsenenä hallitukseen samaksi toimikaudeksi. Nokian hallitus valitsi yhtiökokouksen jälkeen järjestäytymiskokouksessaan Sari Baldaufin hallituksen puheenjohtajaksi ja Kari Stadighin hallituksen varapuheenjohtajaksi. Hallitus valitsi myös neljän hallituksen valiokunnan jäsenet. Tarkastusvaliokunnan puheenjohtajaksi valittiin Carla Smits-Nusteling ja jäseniksi Thomas Dannenfeldt, Jeanette Horan, Edward Kozel ja Elizabeth Nelson. Henkilöstövaliokunnan puheenjohtajaksi valittiin Bruce Brown ja jäseniksi Elizabeth Nelson, Søren Skou ja Kari Stadigh. Nimitysvaliokunnan puheenjohtajaksi valittiin Kari Stadigh ja jäseniksi Sari Baldauf, Bruce Brown ja Carla Smits-Nusteling. Teknologiavaliokunnan puheenjohtajaksi valittiin Edward Kozel ja jäseniksi Sari Baldauf, Bruce Brown, Thomas Dannenfeldt ja Jeanette Horan.

 

Yhtiökokous päätti, että vuosipalkkiot hallituksen jäsenille toimikaudeksi, joka jatkuu vuoden 2021 varsinaisen yhtiökokouksen päättymiseen saakka pysyvät ennallaan ja ovat seuraavat: hallituksen puheenjohtajalle 440 000 euroa, hallituksen varapuheenjohtajalle 185 000 euroa ja muille hallituksen jäsenille kullekin 160 000 euroa. Lisäksi yhtiökokous päätti, että tarkastusvaliokunnan ja henkilöstövaliokunnan puheenjohtajille maksetaan kummallekin vuosipalkkiona lisäksi 30 000 euroa, teknologiavaliokunnan puheenjohtajalle lisäksi 20 000 euroa ja tarkastusvaliokunnan muille jäsenille kullekin 15 000 euroa. Lisäksi yhtiökokous päätti kokouspalkkiosta, joka on 5 000 euroa mannerten välistä matkustamista edellyttävältä kokoukselta ja 2 000 euroa mantereen sisäistä matkustamista edellyttävältä kokoukselta. Kokouspalkkio maksetaan hallituksen ja sen valiokuntien kokouksista kaikille muille hallituksen jäsenille paitsi hallituksen puheenjohtajalle. Kokouspalkkio maksetaan enintään seitsemältä kokoukselta toimikauden aikana. Yhtiökokous päätti, että hallituksen jäsenille korvataan matka- ja majoituskulut sekä muut välittömästi hallitus- ja valiokuntatyöstä aiheutuneet kulut.

 

Lisäksi yhtiökokous päätti yhtiön Corporate Governance -ohjeen mukaisesti, että vuosipalkkioista noin 40 % maksetaan markkinoilta ostettavina Nokian osakkeina tai vaihtoehtoisesti käyttämällä yhtiön hallussa olevia omia osakkeita. Hallituksen jäsenten tulee säilyttää omistuksessaan kaikki hallituksen jäsenyydestä palkkiona kolmen ensimmäisen hallitusvuotensa aikana saamansa Nokian osakkeet jäsenyytensä päättymiseen saakka. Kokouspalkkio ja välittömästi hallitus- ja valiokuntatyöstä aiheutuneet kulut maksetaan rahana.

 

Tilintarkastaja

 

Yhtiökokous valitsi Nokia Oyj:n tilintarkastajaksi tilikaudeksi 2021 tilintarkastusyhteisö Deloitte Oy:n. Lisäksi yhtiökokous päätti, että tilikaudeksi 2021 valitulle tilintarkastajalle maksetaan palkkio tilintarkastajan laskun mukaan, tarkastusvaliokunnan hyväksymien hankintaperiaatteiden mukaisesti.

 

Valtuutukset päättää omien osakkeiden hankkimisesta sekä osakeannista ja osakkeisiin oikeuttavien erityisten oikeuksien antamisesta

 

Yhtiökokous valtuutti hallituksen päättämään enintään 550 miljoonan Nokian osakkeen hankkimisesta. Osakkeita voidaan hankkia mitätöitäväksi, pidettäväksi yhtiön hallussa, luovutettavaksi edelleen tai muihin hallituksen päättämiin tarkoituksiin. Yhtiön omia osakkeita voidaan hankkia muutenkin kuin osakkeenomistajien omistamien osakkeiden suhteessa (suunnattu hankinta). Valtuutus on voimassa 7.10.2021 saakka ja se päätti varsinaisen yhtiökokouksen 21.5.2019 hallitukselle antaman vastaavan valtuutuksen.

 

Yhtiökokous valtuutti hallituksen päättämään enintään 550 miljoonan osakkeen antamisesta osakeannilla tai antamalla osakkeisiin oikeuttavia erityisiä oikeuksia yhdessä tai useammassa erässä. Valtuutusta voidaan käyttää yhtiön pääomarakenteen kehittämiseen, omistuspohjan laajentamiseen, yrityskauppojen tai muiden järjestelyiden rahoittamiseen tai toteuttamiseen, yhtiön osakepohjaisten kannustinohjelmien toteuttamiseen tai muihin hallituksen päättämiin tarkoituksiin. Valtuutuksen mukaan hallitus voi päättää antaa joko uusia osakkeita tai yhtiön hallussa olevia omia osakkeita. Valtuutus sisältää hallituksen oikeuden päättää kaikista osakeannin sekä mainittujen erityisten oikeuksien antamisen ehdoista, mukaan lukien oikeuden antaa osakkeita tai erityisiä oikeuksia osakkeenomistajien merkintäetuoikeudesta poiketen laissa määritellyin edellytyksin. Valtuutus on voimassa 7.10.2021 saakka ja se päätti sekä varsinaisen yhtiökokouksen 21.5.2019 hallitukselle antaman vastaavan valtuutuksen että ylimääräisen yhtiökokouksen 2.12.2015 Nokian ja Alcatel Lucentin yhdistymisen toteuttamiseksi hallitukselle antaman osakeantia koskevan valtuutuksen.

 

Osakkeenomistajan ehdotus yhtiön yhtiöjärjestyksen muuttamiseksi

 

Yhtiökokous päätti hallituksen suosituksen mukaisesti hylätä osakkeenomistajan tekemän ehdotuksen yhtiön yhtiöjärjestyksen muuttamiseksi.

TULEVAISUUTTA KOSKEVAT LAUSUMAT

Nokiaan ja sen liiketoimintoihin liittyy erilaisia riskejä ja epävarmuustekijöitä, ja tietyt tässä esitetyt lausumat, jotka eivät koske jo toteutuneita seikkoja, ovat tulevaisuutta koskevia lausumia. Nämä tulevaisuutta koskevat lausumat heijastavat Nokian tämänhetkisiä odotuksia ja näkemyksiä tulevaisuudesta. 18) asiakasrahoituksen epäsuotuisa kehitys tai pidennetyt maksuehdot, joita tarjoamme asiakkaillemme; 19) mahdolliset eri lainkäyttöalueilla kohdattavat monitahoiset veroihin liittyvät seikat sekä verokiistat ja -velvoitteet, joiden perusteella meille voidaan määrätä maksettavaksi lisää veroja; 20) kykymme hyödyntää laskennallisia verosaamisia muun muassa todellisen tai oletetun tuloksemme perusteella; 21) kykymme sitouttaa, kannustaa, kehittää ja rekrytoida osaavia työntekijöitä; 22) häiriöt valmistus-, palvelutuotanto-, toimitus-, logistiikka- ja toimitusketjuprosesseissamme sekä maantieteellisesti keskittyneisiin tuotantolaitoksiimme liittyvät riskit; 23) liiketoimintaamme liittyvien oikeudenkäyntien, välimiesmenettelyjen, sopimusriitojen tai tuotevastuita koskevien väitteiden vaikutus; 24) kykymme palauttaa luottoluokituksemme investment grade -tasolle tai säilyttää luottoluokituksemme; 25) kykymme saavuttaa yritysjärjestelyistä odotetut hyödyt tai toteuttaa yritysjärjestelyt onnistuneesti, sekä niihin liittyvät odottamattomat vastuut; 26) osallistumisemme yhteisyrityksiin ja yhteisessä hallinnassa oleviin yhtiöihin; 27) liikearvomme kirjanpitoarvo saattaa olla kerrytettävissä olevia rahamääriä matalampi; 28) osakkeenomistajille kultakin tilikaudelta jaettavien osinkojen ja pääomanpalautusten määrän epävarmuus; 29) eläkekustannukset, työntekijärahastoihin liittyvä kustannukset, ja terveydenhuoltokustannukset; 30) kykymme onnistuneesti purkaa tilauskantaa ja hyötyä siitä taloudellisesti; ja kykymme jatkaa myyntihankkeiden muuttamista liikevaihdoksi; 31) merenalaiseen infrastruktuuriin liittyvät riskit; 32) COVID-19 -viruksen vaikutus maailmantalouteen ja rahoitusmarkkinoihin sekä asiakkaisiimme, tuotantoketjuumme, tuotekehitykseemme, palvelutarjontaamme, muuhun toimintaamme ja rahoitus-, vero-, eläke- ja muihin omaisuuseriimme, sekä ne riskitekijät, jotka mainitaan Nokian 5.3.2020 julkaisemassa Yhdysvaltojen arvopaperisäännösten mukaisessa vuosikertomuksessa (Form 20-F) otsikon "Operating and financial review and prospects - Risk factors" alla, täydennettynä 30.4.2020 julkaistulla tiedotteella (Form 6-K) otsikon "Risk Factors" alla, sekä muissa Yhdysvaltain arvopaperiviranomaiselle (US Securities and Exchange Commission) jätetyissä asiakirjoissa. Muut tuntemattomat tai odottamattomat tekijät tai vääriksi osoittautuvat oletukset voivat aiheuttaa todellisten tulosten olennaisen poikkeamisen tulevaisuutta koskevissa lausumissa esitetyistä odotuksista. Nokia ei sitoudu julkisesti päivittämään tai muuttamaan tulevaisuutta koskevia lausumia uuden tiedon, tulevaisuuden tapahtumien tai muun syyn johdosta, paitsi siltä osin kuin sillä on siihen lainmukainen velvollisuus.

Approximately 43 000 shareholders representing approximately 2 300 million shares and votes were represented at the meeting. The AGM supported all the Board's proposals by at least 86 percent of the votes cast and rejected the shareholder's proposal on an amendment of the Articles of Association. The AGM adopted the Company's financial statements, discharged the members of the Board of Directors and the President and Chief Executive Officer from liability for the financial year 2019 and adopted the Remuneration Policy for the Company's governing bodies. In addition, the AGM adopted the following resolutions:

The AGM resolved that no dividend is paid for the financial year 2019.

 

Composition of the Board of Directors, Board committees and Board remuneration

 

The AGM resolved to elect nine members to the Board. The following members of the Board were re-elected for a term ending at the close of the next Annual General Meeting: Sari Baldauf, Bruce Brown, Jeanette Horan, Edward Kozel, Elizabeth Nelson, Søren Skou, Carla Smits-Nusteling and Kari Stadigh. In addition, Thomas Dannenfeldt was elected as a new member of the Board for the same term. In an assembly meeting that took place after the AGM, the Board elected Sari Baldauf as Chair of the Board, and Kari Stadigh as Vice Chair of the Board. The Board also elected the members of the four Board committees. Carla Smits-Nusteling was elected as Chair and Thomas Dannenfeldt, Jeanette Horan, Edward Kozel and Elizabeth Nelson as members of the Audit Committee. Bruce Brown was elected as Chair and Elizabeth Nelson, Søren Skou and Kari Stadigh as members of the Personnel Committee. Kari Stadigh was elected as Chair and Sari Baldauf, Bruce Brown and Carla Smits-Nusteling as members of the Corporate Governance and Nomination Committee. Edward Kozel was elected as Chair and Sari Baldauf, Bruce Brown, Thomas Dannenfeldt and Jeanette Horan as members of the Technology Committee.

 

The AGM resolved that the annual fees to be paid to the members of the Board for the term ending at the Annual General Meeting in 2021 remain at their current level and be the following: EUR 440 000 for the Chair of the Board, EUR 185 000 for the Vice Chair of the Board and EUR 160 000 for each Board member. In addition, the AGM resolved that the Chairs of the Audit Committee and the Personnel Committee will each be paid an additional annual fee of EUR 30 000, Chair of the Technology Committee an additional annual fee of EUR 20 000 and other members of the Audit Committee an additional annual fee of EUR 15 000 each. The AGM also resolved to pay a meeting fee of EUR 5 000 per meeting requiring intercontinental travel and EUR 2 000 per meeting requiring continental travel for Board and Committee meetings to all the other Board members except the Chair of the Board. The meeting fee would be paid for a maximum of seven meetings per term. The AGM resolved that the members of the Board of Directors shall be compensated for travel and accommodation expenses as well as other costs directly related to Board and Committee work.

 

In addition, the AGM resolved, in line with Company's Corporate Governance Guidelines, that approximately 40% of the annual remuneration will be paid in Nokia shares purchased from the market, or alternatively by using treasury shares held by the Company. The members of the Board shall retain until the end of their directorship such number of shares that corresponds to the number of shares they have received as Board remuneration during their first three years of service in the Board. The meeting fee and costs directly related to Board and Committee work will be paid in cash.

 

Auditor

 

The AGM elected Deloitte Oy as the auditor for Nokia for the financial year 2021. In addition, the AGM resolved that the auditor elected for 2021 be reimbursed based on the invoice of the auditor and in compliance with the purchase policy approved by the Audit Committee.

 

Authorizations to resolve on the repurchase of the Company's own shares and on the issuance of shares and special rights entitling to shares

 

The AGM authorized the Board to resolve to repurchase a maximum of 550 million Nokia shares. Shares may be repurchased to be cancelled, held to be reissued, transferred further or for other purposes resolved by the Board.  The shares may be repurchased otherwise than in proportion to the shares held by the shareholders (directed repurchase). The authorization is effective until October 7, 2021 and it terminated the corresponding repurchase authorization granted by the Annual General Meeting on May 21, 2019.

 

The AGM resolved to authorize the Board to issue a maximum of 550 million shares through issuance of shares or special rights entitling to shares in one or more issues. The authorization may be used to develop the Company's capital structure, diversify the shareholder base, finance or carry out acquisitions or other arrangements, settle the Company's equity-based incentive plans, or for other purposes resolved by the Board. Under the authorization, the Board may issue new shares or shares held by the Company. The authorization includes the right for the Board to resolve on all the terms and conditions of the issuance of shares and special rights entitling to shares, including issuance of shares or special rights in deviation from the shareholders' pre-emptive rights within the limits set by law. The authorization is effective until October 7, 2021 and it terminated the corresponding authorization granted by the Annual General Meeting on May 21, 2019. The authorization terminated also the authorization by the Extraordinary General Meeting held on December 2, 2015 granted to the Board for issuance of shares in order to implement the combination of Nokia and Alcatel Lucent.

 

A shareholder's proposal for amending the Articles of Association of the Company

 

The AGM resolved, in accordance with the recommendation of the Board, to reject the shareholder's proposal on an amendment of the Articles of Association of the Company.

Espoo, Finland – Nokia today announced that it has joined the Open RAN Policy Coalition to help enable a comprehensive and secure approach to 5G and future network generations. Alongside its customers and other industry stakeholders, Nokia will help shape policy choices that will impact how wireless networks are built, including support for research and development in open networks. 

 

By disaggregating hardware and software components and leveraging open interfaces, Open RAN (O-RAN) technology has the potential to enrich the mobile ecosystem with new solutions and business models, and an expanded multi-vendor ecosystem. Nokia has been working within the O-RAN Alliance to help develop the open reference architectures and open interfaces that will be critical to the delivery of interoperable O-RAN solutions.

 

Nokia was the first major vendor to join the O-RAN Alliance and it is co-chairing the workgroups that are defining the Open Fronthaul Interface and the Near Real-time RAN Intelligent Controller (RIC), which will help automate and optimize the network. In addition to the O-RAN Alliance, Nokia has championed open standards in 3GPP, the Linux Foundation's ONAP initiative, ETSI's Multi-access Edge Computing (MEC) initiative, and more.

 

In addition to technical contributions, Nokia supports the continued development and execution of a comprehensive strategy for open and secure RAN policy for 5G and beyond.

Espoo, Finland – Nokia today announced its WaveFabric Elements portfolio of photonic chips, devices and subsystems, including its fifth generation coherent digital signal processor family, the Photonic Service Engine V (PSE-V). 

The explosion in video and mobile bandwidth demand over the past decade has been met through the continual advancement of optical and silicon technology. But as fundamental limits of transmission capacity and processing power are approached, network operators will need new ways to continue to scale their networks to meet the surging demands of 5G and cloud networking, while containing cost. Key to this transition is 400 Gigabit Ethernet (400G) technology.

Set to become the pervasive network interface across IP, optical and data center networks,  400G marks the first common data rate since the introduction of 100G approximately 10 years ago. As the foundational technology for high bandwidth transport, the critical task of electro-optics in the coming years will be to transport 400G services at the lowest cost across a wide range of networking applications, each with distinct size, power, and performance requirements.

Nokia's WaveFabric Elements portfolio combines digital signal processing (DSP) and optics technologies focused on emerging end-to-end 400G applications, allowing Nokia to optimize the entire electro-optic engine that powers today's networks and the transformational upgrades to come. This high degree of vertical integration ensures that Nokia's optical solutions will meet the unique economic and technical requirements of data center, metro, long haul, and subsea networks.

 

Nokia's fifth generation coherent DSP family, comprising the high-performance Nokia PSE-Vs (super coherent) and the low power PSE-Vc (compact), continues Nokia's history of developing multiple DSPs optimized for different optical networking applications, form factors, and platforms. The new DSPs are complemented by the CSTAR portfolio of coherent optical engines brought to Nokia via its recent acquisition of Elenion Technologies, a pioneer in silicon photonics. A new family of pluggable transceiver modules allows Nokia to address their critical and expanding role in data center, IP and optical networks, as well as emerging markets and applications highly dependent upon low-cost optical connectivity, such as access and mobile networking.

The CSTAR family of optical engines is currently shipping to customers. PSE-V-based platforms and pluggables will be available beginning in Q4 2020. 

The Nokia WaveFabric Elements portfolio addresses the demanding power, performance, and cost-per-bit requirements of 400G networking across data center, metro, core and subsea applications.

  • The PSE-Vs, which can run up to 90 Gbaud, employs the second generation of the industry's only field-proven implementation of Nokia Bell Labs-pioneered probabilistic constellation shaping (PCS). Combining refined algorithms with the enhanced capabilities of a new generation of silicon, it is capable of transporting up to 800G, while providing 60% greater reach, 40% lower power per bit, and 15% greater spectral efficiency than previous DSP generations.
  • The PSE-Vc enables programmable capacity from 100G to 400G with metro to long haul capability. Its extremely low power enables integration into a variety of pluggable transceiver modules.
  • The Nokia CSTAR family of optical engines leverages state-of-the-art silicon photonics and packaging technology, and addresses applications, including intra-data center, metro DCI and long-reach optical transport. Paired with PSE-V DSPs within Nokia platforms, they are also available independently to industry partners for integration into pluggable transceiver modules available to the broader market.
  • Nokia's 400G pluggable coherent transceiver modules are optimized to address a range of platforms and applications, including Nokia's broad portfolio of optical transport, IP, fixed access and mobile solutions. The portfolio includes 400G ZR/ZR+ capabilities in the QSFP-DD form-factor and a higher performance, more feature rich 400G multi-haul variant in a CFP2-DCO form-factor.

Espoo, Finland – Nokia today announced that Openreach will deploy its fiber solutions to help meet its target of bringing ultra-fast and reliable broadband access to 20 million homes across the UK by the mid-to-late 2020s. The fiber rollout with Nokia underpins Openreach's commitment to build a world-class, secure broadband network that can deliver differentiated customer experiences and provide a platform for the UK's economic recovery, post Covid-19.

 

Openreach is focused on extending its fiber networks to better meet evolving consumer demands, support society in unforeseen crises and help socio-economic growth. A nationwide fiber-to-the-home network has the potential to provide a £59 billion boost to UK productivity by 2025i. It can also enable 400,000 more people to work from home, allow 125,000 parents with dependent children the opportunity to re-enter the workforce and help to reduce greenhouse emissions.

 

The rollout with Nokia focuses on deploying GPON and XGS-PON fiber access technologies to expand Openreach's fiber-rich network to reach 4.5 million premises by the end of March 2021. It's also capable of delivering up to 10Gb/s symmetrical broadband speeds in the future, in areas where demand for additional capacity is required. Nokia's solution supports a smooth evolution from current traditional deployments to virtualized access-network control and management (SDAN – Software Defined Access Networking) by software upgrade.

 

The agreement is another key milestone in Nokia's extensive partnership with Openreach to deliver multi-Gigabit, next generation PON connectivity to customers and builds on an extensive end-to-end network framework that has been established over the past years. This includes G.fast technology which currently allows Openreach to offer 100's Mb/s to homes in areas where fiber is not available yet.
