Exercises with stock options of Nokia Corporation

Espoo, Finland - Based on Nokia Corporation's 2011 Stock Option Plan a total of 330 000 Nokia shares were subscribed for between October 30 and November 26, 2018. The subscription price was EUR 2.08 per share for 86 000 shares, EUR 1.82 per share for 152 500 shares and EUR 2.35 per share for 91 500 shares. The total amount of the subscription price, EUR 671 455.00, will be recorded in the fund for invested non-restricted equity and, consequently, the share capital of the company does not increase.

 

The new shares carry all the shareholder rights as of the registration date November 30, 2018. The shares are expected to commence trading in Nasdaq Helsinki as of December 3, 2018, and in Euronext Paris as of December 4, 2018, together with other Nokia shares (NOKIA). Euronext Paris will publish a notice announcing the admission to trading on Euronext Paris of the new shares.

 

The amount of Nokia shares after registration of the shares in the Trade Register is 5 635 922 159 shares.

Nokia Oyj:n vuoden 2011 optio-ohjelman optio-oikeuksilla on 30.10. - 26.11.2018 välisenä aikana merkitty 330 000 kappaletta Nokian osakkeita. Merkintähinta oli 2,08 euroa osakkeelta 86 000 osakkeen osalta, 1,82 euroa osakkeelta 152 500 osakkeen osalta ja 2,35 euroa osakkeelta 91 500 osakkeen osalta. Osakemerkinnöistä saatu merkintähinta, yhteensä 671 455,00 euroa kirjataan kokonaisuudessaan sijoitetun vapaan oman pääoman rahastoon eikä yhtiön osakepääomaa merkintöjen seurauksena koroteta. 

 

Uudet osakkeet tuottavat kaikki osakkeenomistajan oikeudet rekisteröintipäivästä 30.11.2018 lukien. Osakkeet otetaan kaupankäynnin kohteeksi Nasdaq Helsingissä arviolta 3.12.2018 ja Euronext Pariisissa arviolta 4.12.2018 muiden Nokian osakkeiden (NOKIA) kanssa. Euronext Paris julkistaa erillisen tiedotteen, kun se on hyväksynyt uusien osakkeiden listaamisen ja ottamisen kaupankäynnin kohteeksi Euronext Pariisin säännellyllä markkinalla.

Bangkok, Thailand - AIS Fibre, a leading fixed broadband operator, is teaming up with Nokia to provide residential customers with a new premium service that ensures a seamless Wi-Fi broadband experience reaching every corner of the home.  AIS Fibre customers in Thailand will be eligible to receive the Nokia WiFi Beacon 3 duo-pack for a special price which, once installed, quickly establishes a whole-home meshed Wi-Fi network that significantly enhances ultra-broadband coverage and performance. 

 

Many homes suffer from poor Wi-Fi performance.  Speeds and reliability can be impacted by the number of connected devices and by interference from appliances like microwave ovens or Wi-Fi networks from neighbors. In addition, coverage is often inadequate due to dead zones from indoor walls.  Solving these issues can be difficult, often requiring several access points to be installed. 

   

The Nokia Wi-Fi solution eliminates these common home networking challenges and provides AIS Fibre customers with a true meshed Wi-Fi experience that is easy to install and delivers the whole-home coverage and performance needed to support ultra-broadband services. Designed to detect 100% of both Wi-Fi and non-Wi-Fi interference sources, the Nokia WiFi Beacon 3 automatically connects devices to the strongest channel to ensure a flawless experience. Additionally, embedded software and analytic functions in the beacons automatically self-heal and optimize the Wi-Fi experience, eliminating the need for customers to manually manage the network to achieve optimal performance.    

 

Once the Nokia beacons are delivered, AIS Fibre customers can get their network up and running in few minutes by simply downloading a mobile app and following the guided setup process. Once the network is up, customers can use the mobile app to see a visual representation including a heat map to easily locate and manage dead zones and identify the right place to add new access points to fill coverage gaps. Customers can also quickly access device lists and management capabilities to create guest networks and specific security settings.

Manila, Philippines - Nokia and mobile operator Smart Communications are collaborating with the Philippine Red Cross (PRC) to bring innovative technology like LTE-connected drones and a portable network into areas struck by disaster. The collaboration was unveiled at an event on November 23 in the PRC logistics and training center in Subic Bay, Philippines, that also served as the inauguration of the non-profit Nokia Saving Lives (NSL) solution, which PRC will now incorporate into their toolkit for demanding search and rescue activities.

 

The event showcased how the NSL solution integrates into Red Cross teams, and how a high-capacity mobile broadband network combined with drones and on-site computing power effectively supports Red Cross emergency operations. Aerial insights and data analytics improve situational awareness and help the incident commander prioritize resources for people in distress. The demonstration also highlighted how NSL provides a critical communication channel in remote areas where there is no network coverage, or when disaster destroys existing network infrastructure. The collaboration with PRC and Smart is the first deployment of the Nokia Saving Lives concept.

 

The NSL solution is comprised of a portable LTE network, which connects to drones equipped with cameras, sensors or speakers; a high-performance server; and analytics applications. A team of 25 Nokia employees have been trained to become technical experts to serve as volunteers in the Red Cross organization. In addition to the technical training, these volunteers have thus far contributed 1,000 man-hours to the Red Cross disaster preparedness education in support of Nokia's commitment to the UN Sustainable Development goals.

Singapore - Nokia and StarHub have completed the first outdoor pilot of 5G New Radio on 3.5GHz frequency band in Singapore. The companies demonstrated industrial and consumer applications to staff, industry partners and enterprise customers over 'live' Nokia 5G cells and core network technology at StarHub's headquarters in Singapore.

 

One industrial application replicated a manufacturing environment, featuring how businesses can use 5G-enabled video analytics to enhance efficiency and minimise production errors. Another demonstration showed how sports fans can turn to virtual reality headsets to enjoy 'live' events virtually lag-free over 5G.

 

The over-the-air pilot with third party devices showcased the capabilities of a 5G non-standalone network architecture (Nokia 5G radio technology interworking with StarHub's 4G core network) to deliver the speeds, capacity and latency required to support enhanced mobile broadband services. Nokia deployed AirScale Radio Access technology with 5G New Radio 3GPP-compliant software and the Nokia AirFrame data center solution, leveraging its services expertise to optimise deployment.

Espoo, Finland - Nokia today announced that Telecom Egypt has adopted Nokia's Photonic Service Engine (PSE) technology to double backbone capacity on its Delta Region DWDM backbone network. Commercial deployment of the new high-speed service started in June and represents the first 200G long distance, single carrier transmission service in Africa.

With growth in demand for mobile video and ultra broadband services, Telecom Egypt worked closely with its partner Nokia to upgrade its current Nokia 1830 PSS backbone network. The network capacity increase brings higher-rate broadband services to fixed customers, as well as higher data rates for LTE mobile subscribers. Upgrading its existing Nokia PSS 1830 switches with Nokia's PSE technology enables Telecom Egypt to double its capacity while reducing operating costs.

Telecom Egypt is upgrading its backbone network using the Nokia 500G DWDM Muxponder, a programmable card that provides wavelength capacities from 50G to 250G per line port. Based on Nokia's Photonic Service Engine (PSE) coherent digital signal processor, this programmability will allow Telecom Egypt to provision and tune the wavelength capacity per optical route to ensure that its network is operated at peak performance, capacity and lowest cost-per-gigabit.

Under the agreement, OPPO will make payments to Nokia for a multi-year license period.

Nokia establishes Access Networks Division to fully exploit opportunities of 5G and announces changes in the composition of the Nokia Group Leadership Team

Espoo, Finland - Nokia today announced further steps to align its organizational structure to its strategy, strengthen its leadership team and position the company for success in the 5G era.

"Nokia has a unique advantage in the 5G era with its end-to-end portfolio," said Nokia President and Chief Executive Officer, Rajeev Suri. "By creating a single Access Networks organization that includes both fixed and mobile, we can improve our customer focus, simplify our management structure, and more efficiently leverage our full portfolio."

The Access Networks Division will consist of Nokia's current Mobile Networks and Fixed Networks Business Groups, with the change to take effect on January 1, 2019. The new leaders of Mobile Networks and Fixed Networks Business Groups will report to the President of Access Networks who will be named in due course.

Effective immediately, Tommi Uitto is appointed President of Mobile Networks. Uitto is a 23-year Nokia veteran, an expert in radio technologies, and well-known to customers around the world. His most recent role has been leading Mobile Networks Product Sales since the acquisition of Alcatel-Lucent. As previously announced, Nokia plans to announce a President of Fixed Networks in due course.

"Tommi is a strong leader with the right background in both sales and product development and I am pleased that he has accepted this role," said Suri. "He brings deep credibility from across the telecommunications industry and a proven ability to drive product leadership and business performance."

With these changes, Marc Rouanne, who has been serving as President of Mobile Networks, will leave Nokia.  "I want to thank Marc for his contributions to Nokia and wish him well in the future," said Suri.

As a result of these changes, Nokia's Group Leadership Team will now consist of the following members: Rajeev Suri, Basil Alwan, Hans-Juergen Bill, Kathrin Buvac, Ashish Chowdary, Joerg Erlemeier, Barry French, Sanjay Goel, Bhaskar Gorti, Federico Guillén, Kristian Pullola, Sri Reddy, Maria Varsellona and Marcus Weldon. As announced earlier, Chowdary will step down and Ricky Corker will join as of January 1, 2019. The President of Access Networks will be appointed in due course and will also join the Nokia Group Leadership Team.
