Nokia Oyj:n osakkeiden merkinnät optio-oikeuksilla ja uusien osakkeiden rekisteröinti

 

Nokia Oyj:n vuoden 2011 optio-ohjelman optio-oikeuksilla on 28.8. - 25.9.2017 välisenä aikana merkitty 130 000 kappaletta Nokian osakkeita. Merkintähinta oli 2,08 euroa osakkeelta 37 500 osakkeen osalta, 1,82 euroa osakkeelta 35 000 osakkeen osalta, ja 2,35 euroa osakkeelta 57 500 osakkeen osalta. Osakemerkinnöistä saatu merkintähinta, yhteensä 276 825,00 euroa kirjataan kokonaisuudessaan sijoitetun vapaan oman pääoman rahastoon eikä yhtiön osakepääomaa merkintöjen seurauksena koroteta. 

 

Lisäksi 28.9.2017 julkistetun mukaisesti 2 933 541 yhtiölle annettua uutta osaketta on merkitty kaupparekisteriin. Osakkeet annettiin vastikkeetta.

 

Uudet osakkeet tuottavat kaikki osakkeenomistajan oikeudet rekisteröintipäivästä 29.9.2017 lukien. Osakkeet otetaan kaupankäynnin kohteeksi muiden Nokian osakkeiden (NOKIA) kanssa Nasdaq Helsingissä arviolta 2.10.2017 ja Euronext Pariisissa arviolta 3.10.2017. Euronext Pariisi julkistaa erillisen tiedotteen, kun se on hyväksynyt uusien osakkeiden ottamisen kaupankäynnin kohteeksi Euronext Pariisissa.

 

Nokian osakkeiden kokonaismäärä on rekisteröinnin jälkeen 5 839 381 803 kappaletta ja Nokia Oyj:n hallussa olevien omien osakkeiden lukumäärä yhtiölle tehdyn annin jälkeen on 222 212 794 osaketta.

Espoo, Finland - Based on Nokia Corporation's 2011 Stock Option Plan a total of 130 000 Nokia shares were subscribed for between August 28 and September 25, 2017. The subscription price was EUR 2.08 per share for 37 500 shares, EUR 1.82 per share for 35 000 shares and EUR 2.35 per share for 57 500 shares. The total amount of the subscription price, EUR 276 825.00, will be recorded in the fund for invested non-restricted equity and, consequently, the share capital of the company does not increase.

 

In addition, the 2 933 541 new shares issued to the company as announced on September 28, 2017 have been entered into the Finnish Trade Register. The shares were issued without consideration.

 

The new shares carry all the shareholder rights as of the registration date September 29, 2017. The shares are expected to commence trading on Nasdaq Helsinki as of October 2, 2017, and on Euronext Paris as of October 3, 2017, together with other Nokia shares (NOKIA). Euronext Paris will publish a notice announcing the admission to trading on Euronext Paris of the new shares.

 

The number of Nokia shares after registration of the shares in the Trade Register is 5 839 381 803 shares and the number of shares held by Nokia Corporation following the share issuance to the company is 222 212 794.

Espoo, Finland - Nokia is playing a leading role in the Broadband Forum's effort to spark fixed access network innovation by spearheading the new Broadband Access Abstraction (BAA) project. The initiative, led by Nokia, seeks to drive the adoption of software-defined access networks through the contribution of open source software, uniting vendors and operators to ensure they are aligned with industry specifications to meet the needs of operators globally.

 

The project seeks to define a software reference implementation for an open BAA layer, which would eliminate dependencies on vendor-specific equipment and proprietary software functions by providing standardized interfaces and decoupling implementation from the underlying hardware.

 

Nokia is the first vendor partner to contribute open source code under the BAA project. Fully aligned with BBF standard data models, the open source code delivers common management functionality, making it easier to operate multi-vendor, multi-technology access networks and letting operators and vendors focus on developing new innovative cloud capabilities instead.

 

The project is created within the BBF - a non-profit industry organization focused on engineering smarter and faster broadband networks - under the Open Broadband (OB) program and taps into deep experience in defining network architectures that fulfill a wide range of requirements and operator needs. Developing both the specifications and reference codes under a single organizational umbrella will shorten feedback loops and reduce the development efforts and testing cycles required.

Amman, Jordan - Nokia and Orange Jordan are deploying a fiber-to-the-home (FTTH) network that will bring new ultra-broadband access and triple-play services to thousands of homes and businesses across Jordan besides Orange Jordan's existing ADSL (Asymmetric digital subscriber line) technology. Using a combination of Nokia's GPON (gigabit passive optical network) technology, fixed network professional services, as well as Nokia Applications and Analytics advanced network and device management software, Orange Jordan will be able to quickly deliver over 200 Mbps services needed to meet surging demand for high-speed residential and commercial services.

 

Today, broadband penetration in Jordan is predominantly wireless-based. Only five percent of the population accesses the internet via a fixed connection, a fraction of the six million total broadband subscribers, according to 2017 report concerning ICT in Jordan. However, as demand for e-services, e-commerce, e-health, and e-education services grows across the Kingdom, the Jordanian government is focused on enhancing its fixed access infrastructure to ensure higher speed internet access is more broadly available. As the first operator to launch a FTTH service in 2016, Orange Jordan is applying its global expertise to initiate and maintain digital transformation in the Kingdom. These ambitions are in line with the Orange Group's five-year corporate strategy, Essentials 2020, which focuses on connecting people to all that is essential to them.

 

Utilizing Nokia's GPON FTTH technology, Orange Jordan will be able to deliver enhanced services to new customers as well as extend the service to subscribers already served by the existing ADSL-based network. With the use of the Nokia Network Analyzer, Home Device Manager, and Home Care solutions, Orange Jordan will be able to proactively manage the GPON network and communication devices in customers' homes.

Nokia Board of Directors resolved to issue shares to the company and resolved on a directed share issuance to Nokia employees participating in the Employee Share Purchase Plan 2016

Espoo, Finland - Nokia announced today that it has resolved to issue 2 933 541 new shares in a directed issuance without consideration to Nokia Corporation to be later used to fulfil the company's obligations primarily under the Employee Share Purchase Plan 2016. The new shares will be registered with the Finnish Trade Register as soon as practicable and the shares will carry the shareholder rights attached to them as of the registration date.

 

Additionally, the Board of Directors resolved on a directed issuance of a maximum number of 2 933 541 Nokia shares (NOKIA) held by the company, as a result of the above issuance of new shares, to Nokia employees participating in the Employee Share Purchase Plan 2016. The savings period of the plan ended on June 30, 2017. Under the terms and conditions of the plan, Nokia will offer one matching share for every two shares purchased under the plan which the participant still held on July 31, 2017.

 

The shares under the Employee Share Purchase Plan 2016 will be delivered to the employees on or around October 30, 2017. The shares are issued without consideration.

 

The Board of Directors approved the launch of the Employee Share Purchase Plan 2016 as part of the Nokia Equity Program on February 10, 2016 to encourage employee share ownership, commitment and engagement.

 

Both resolutions to issue shares are based on the authorization granted to the Board of Directors by the Annual General Meeting on May 23, 2017.

Nokian hallitus päätti osakeannista yhtiölle sekä suunnatusta osakeannista vuoden 2016 osakesäästöohjelmaan osallistuneille Nokian työntekijöille

 

Nokian hallitus on päättänyt uusilla osakkeilla toteutettavasta 2 933 541 osakkeen suunnatusta maksuttomasta osakeannista Nokia Oyj:lle, jotta yhtiö voi myöhemmin täyttää pääasiassa Nokian vuoden 2016 osakesäästöohjelmaan liittyvät velvollisuutensa. Osakkeet rekisteröidään kaupparekisteriin niin pian kuin mahdollista ja osakkeet tuottavat osakkeenomistajan oikeudet rekisteröintipäivästä lukien.

 

Lisäksi Nokian hallitus on päättänyt yhtiön hallussa olevilla omilla osakkeilla toteutettavasta, enintään 2 933 541 Nokian osakkeen (NOKIA) suunnatusta osakeannista Nokian vuoden 2016 osakesäästöohjelmaan osallistuneille Nokian työntekijöille. Vuoden 2016 osakesäästöohjelman säästökausi päättyi 30.6.2017. New Delhi, India - Nokia will help Idea Cellular meet ever-increasing bandwidth demand by deploying Nokia's 1830 Photonic Services Switch (PSS) based Wavelength Division Multiplexing (WDM) solution. The optical transport network solution will be implemented across fiber-constrained geographies on the Idea network. Once the technology is deployed, Idea will be able to provide high-bandwidth services to its subscribers.

 

Nokia's 1830 Photonic Services Switch allows service providers to extend reach by providing a cost-effective alternative to expensive fiber. Nokia's solution will be strategically deployed in fast-growing areas to allow Idea to offer high-bandwidth services to its subscribers without worrying about the added load on the network. Nokia WDM helps in creating a new access layer, is easily scalable and ensures optimized power consumption and space utilization. The new transport network will also be able to support the increased demand in the future.

Espoo, Finland - Nokia is expanding its ViTrust critical communications portfolio with new services to help first responders take advantage of reliable and secure high-performance applications on their public safety devices. The services provide trouble-free continuity of operations for public safety agencies across a multi-vendor, multi-technology mission critical communications environment.

 

Nokia's device software customization service will help accelerate agency adoption of new AndroidTM-based devices for first responders. Nokia's experts design and develop secure custom device firmware with tailor-made user experience adaptations and enhancements for public safety operations. First responders benefit from a familiar interface designed to provide vital information at a glance, saving time in emergency situations when every second counts.

 

Nokia's expertise in end-to-end LTE solutions across devices, operating systems, applications and network nodes assures extreme performance and reliability for real-time video and other mission-critical broadband applications, integrated with custom-built firmware. The build is hardened for security and incorporates features like device data encryption and controlled access to external sources like application stores.

 

Care for public safety is a service to ensure that the most demanding communications needs of public safety organizations are fulfilled. Nokia ensures that new network functionality and services interworking with multivendor LTE networks are available from day one.
