Nokia Technologies launches OZO virtual reality (VR) camera in European market

• Post-production partnerships announced with Deluxe and The Foundry

London, UK - Nokia Technologies today announced the European sales launch of the OZO professional VR camera and new post-production partnerships to advance end-to-end solutions for creating VR experiences. Hosted at London's indigo at the O2 arena, the event included demonstrations of OZO's innovative features such as real-time VR preview, wireless operation, and full 3D 360 VR audio and video live broadcast capabilities.

In addition to bringing OZO's category-defining features to the European market, Nokia Technologies also announced post-production partnerships to facilitate the content production workflow. Uncertainty about available workflow and tools for VR content creation has been a major concern for the creative community, and with these partnerships OZO provides a comprehensive solution.

 

Deluxe will provide high quality post-production services for OZO VR content, including editorial, stitching and color. Deluxe will also harness the talents of more than 3,000 global artists in the Deluxe Creative Artist Group, including premier talent from Company 3, Method Studios and StereoD, to support VR experiences created with OZO.

 

Additionally, Nokia Technologies announced that post-production software tools from London-based The Foundry, including NUKE, will soon support 3D content created with OZO.

The launch event featured a live broadcast 360 VR concert from band John Bull and the Bandits, who played 11 kilometres away at London's The Park Plaza Westminster Bridge Hotel. Enabled by technology from partners Elemental Technologies and Akamai, the demonstration highlighted OZO's unique ability to provide a totally immersive live experience to viewers, allowing them to put on a VR headset and be transported to another location.

Nokia Technologies announces OZO Pioneer Program for innovative virtual reality content

• Program covers North America and Europe, announced at the EMEA launch of OZO

London, UK - Nokia Technologies today announced the launch of a new program to enable innovators to create virtual reality experiences that demonstrate the full potential of the medium. Participants in the program, which is open to applications and purchases through April 30, 2016, will create content using the OZO professional VR camera.

"Virtual Reality is the next frontier in storytelling, and OZO is designed to provide professional content creators with an innovative solution to produce great VR experiences," said Paul Melin, vice president of digital media at Nokia Technologies. "Nokia wants to help drive the creation of content that demonstrates the possibilities of this medium in collaboration with innovators at the cutting edge of VR production, and the Pioneer Program is designed to tap into the full creativity of the VR community."

Participants in the Program will create a 1-minute demo clip using their OZO and participate in workshop sessions with Nokia Technologies teams and other content creators to share their experiences in creating VR content. The Program participants will also receive a USD 15,000 discount on their purchase of OZO (EUR 15,000 in the European region).

Nokia resolves to issue new shares in a directed share issue to the Alcatel-Lucent depositary in exchange for Alcatel-Lucent shares

 

Espoo, Finland - Nokia announces today that it has resolved to issue a maximum of 72 842 811 new shares ("Shares", each a "Share") in deviation from shareholders' pre-emptive rights based on a resolution by the Board of Directors pursuant to the authorization granted by the Extraordinary General Meeting held on December 2, 2015. The Shares will be paid by contribution in kind with the Alcatel-Lucent shares purchased from the JPMorgan Chase Bank, N.A., as depositary (the "Depositary") in the Alcatel-Lucent American depositary receipts ("ADR") program.

 

The Shares will be issued to the Depositary as consideration for Alcatel-Lucent shares that Nokia is expected to purchase from the Depositary pursuant to the Share Purchase Agreement (the "SPA"), dated March 16, 2016, between Nokia and the Depositary in order to increase Nokia's ownership in Alcatel-Lucent. Pursuant to the SPA, Nokia would acquire all Alcatel-Lucent shares underlying the remaining outstanding ADRs after termination of the ADR program, which is expected to occur on April 25, 2016.

 

The Alcatel-Lucent shares will be purchased at the same exchange ratio as that offered in Nokia's recently completed public exchange offers for Alcatel-Lucent securities in France and in the United States, i.e. 0.5500 Shares for each Alcatel-Lucent share. There are currently 127 930 767 Alcatel-Lucent shares in the ADR program, excluding ADRs owned by Nokia, representing approximately 3.6% of the share capital and approximately 3.6% of the voting rights of Alcatel-Lucent as of the date hereof. This would correspond to the issuance of 70 361 922 Nokia Shares and this number may be further reduced by any cancellations of ADRs occurring through April 25, 2016. 

 

The completion of the purchase and sale of the Alcatel-Lucent shares is subject to satisfaction or waiver of certain conditions precedent, including the expiration of the currently pending cancellation period with respect to the Alcatel-Lucent ADR program, accuracy of representations and warranties, compliance with covenants and absence of legal restrictions with respect to the transaction.

 

The settlement of the purchase of the Alcatel-Lucent shares from the Depositary is expected to take place during the first half of May 2016, and the final number of Shares issued will be announced in connection with the settlement.

Nokia suuntaa osakeannin Alcatel-Lucentin talletusyhteisölle ja saa vastikkeena Alcatel-Lucentin osakkeita

 

Nokian hallitus on 2.12.2015 pidetyn ylimääräisen yhtiökokouksen antaman valtuutuksen perusteella päättänyt antaa enintään 72 842 811 uutta osaketta ("Osakkeet", yksittäin "Osake") osakkeenomistajien merkintäetuoikeudesta poiketen. Osakkeet annetaan JPMorgan Chase Bank, N.A.:lle ("Talletusyhteisö"), joka toimii  Alcatel-Lucentin American depositary receipt -osaketalletustodistuksia ("ADR") koskevassa ohjelmassa talletusyhteisönä. Talletusyhteisö maksaa Osakkeiden merkintähinnan antamalla apporttivastikkeena Alcatel-Lucentin osakkeita.

 

Nokian Osakkeet annetaan Talletusyhteisölle vastikkeeksi Alcatel-Lucentin osakkeista, jotka Nokia aikoo hankkia Talletusyhteisöltä 16.3.2016 päivätyn Nokian ja Talletusyhteisön välisen sopimuksen ("Sopimus") mukaisesti Nokian omistusosuuden kasvattamiseksi Alcatel-Lucentissa. Sopimuksen mukaan Nokia hankkisi Talletusyhteisöltä kaikki sellaiset Alcatel-Lucentin osakkeet, jotka vastaavat ADR-ohjelman päättymisen jälkeen jäljellä olevia ADR-osaketalletustodistuksia. ADR-ohjelman odotetaan päättyvän 25.4.2016.

 

Alcatel-Lucentin osakkeet hankitaan samalla vaihtosuhteella, jota tarjottiin Nokian äskettäin Ranskassa ja Yhdysvalloissa toteuttamissa julkisissa osakevaihtotarjouksissa Alcatel-Lucentin arvopapereista, eli 0,5500 Nokian Osaketta jokaista Alcatel-Lucentin osaketta kohden. Tällä hetkellä ADR-ohjelmassa on Nokian omistamat ADR-osaketalletustodistukset pois lukien 127 930 767 Alcatel-Lucentin osaketta, mikä tämän päivän tietojen perusteella vastaa noin 3,6 %:a Alcatel-Lucentin kaikista osakkeista ja noin 3,6 %:a äänistä. Tämä määrä vastaisi 70 361 922 Nokian Osakkeen antamista ja saattaa edelleen vähentyä 25.4.2016 mennessä mahdollisesti tapahtuvien ADR-osaketalletusten peruutusten seurauksena.

 

Alcatel-Lucentin osakkeiden hankinnan toteuttaminen on ehdollinen tiettyjen ehtojen täyttymiselle tai niistä luopumiselle, mukaan lukien Alcatel-Lucentin ADR-ohjelman käynnissä olevan peruutusjakson päättyminen, Sopimuksessa annettujen vakuutusten paikkansapitävyys, sitoumusten noudattaminen ja transaktioon liittyvien laista johtuvien esteiden puuttuminen.

 

Osakkeiden hankinnan selvityksen odotetaan tapahtuvan toukokuun 2016 ensimmäisellä puoliskolla. Järjestelyn yhteydessä annettavien Nokian Osakkeiden lopullinen määrä julkistetaan selvityksen yhteydessä.
