Espoo, Finland - Nokia today announced Telefónica Spain will use the Deepfield Cloud Intelligence analytics solution to improve user experience and troubleshoot content delivery in real time. Nokia Deepfield will equip Telefónica Spain with previously unattainable visibility into application and service traffic on its network. This provides vital, data-driven insight and analytics into the capacity being used and enables automated actions to significantly improve service assurance and performance.

Online video consumption continues to surge worldwide, with customers expecting the highest quality of experience for gaming and video streaming services. In Spain, specifically, regulator CNMC reported three out of ten households consume online content as of 2018, with approximately 5.9 million online video subscribers in the country. In addition, although cloud applications and services make up more than 60% of global network traffic today, according to Deepfield's analytics, providers have had very limited insight into application traffic running on their networks or the impact network performance has on end-user applications and subscriber experience to-date.

Espoo, Finland - TIM (Telecom Italia), in collaboration with Nokia, has achieved a wavelength speed of 550 Gigabits per second (Gb/s), a new European record for data transmission over a long-distance backbone network. The trial covered more than 350 kilometres on TIM's operational network between Rome and Florence using the new Nokia Photonic Service Engine 3 (Nokia PSE-3).

 

In addition to this milestone, TIM and Nokia also reached a transmission rate of 400 Gigabit/s over 900 kilometers between Rome and Milan, and 300 Gb/s over 1,750 kilometers.

 

The PSE-3 is the first coherent DSP to implement a sophisticated signal processing algorithm known as Probabilistic Constellation Shaping (PCS), which maximizes data transport capacity over any distance. This speed triples the bandwidth of the current network, and with the arrival of 5G, will offer customers the most efficiency and connectivity in support of the ever-increasing ultrabroadband traffic, as well as ensuring reliability and security.

 

The TIM backbone is a Wavelength Division Multiplexing (WDM) network based on the latest generation of Nokia's 1830 Photonic Service Switch. The network is fully automated and currently carries optical signals with a capacity of 100 Gb/s over distances of up to 1,800 kilometers, and 200 Gb/s up to 800 kilometers. The backbone, with a coverage of over 16,000 kilometers of fiber, and connecting to 65 national POPs (Point of Presence), has carried over 9,000 petabytes of data traffic in the last year, equivalent to the content of 2 billion DVDs.

As an existing supplier of multiple technologies to SoftBank, Nokia's selection for 5G Radio re-enforces the strong relationship between the two companies, as SoftBank turn to Nokia's end to end portfolio for 5G.  Nokia's 5G AirScale supports multiple frequencies, in both distributed and centralized architectures, giving SoftBank tremendous flexibility in its network evolution.

Cairo, Egypt - Nokia is deploying a cloud-based Subscriber Data Management (SDM) solution that enables Vodafone Egypt to offer innovative services to its 4G customers. The deployment, under the Spring SDM project, helps Egypt's largest service provider to continue transforming its operations around telco cloud technology.

 

The adoption of Nokia's Telco Cloud Network Functions Virtualization (NFV) helps Vodafone Egypt scale its network to meet unprecedented increases in data traffic while simplifying its operational model. The Nokia SDM solution is currently used for other applications, such as Mobile Number Portability (MNP) and Equipment Identity Register (EIR). Nokia also provides cloud integration and implementation services to enable a smooth transition to the SDM solution. The deployment is a significant step in the complete transformation of Vodafone Egypt's network to continue providing the best-in-class services to its subscribers.

 

In addition, by deploying Nokia Registers, Vodafone Egypt is able to manage its subscriber data and authentication from a centralized location and across all technologies regardless of whether they are fixed or mobile. This leads to better network efficiency and faster, smoother introduction of new services. Espoo, Finland - Nokia and U Mobile have signed a three-year contract to deploy a Nokia Single Radio Access Network (RAN) network as well as microwave and IP-based mobile transport technologies to enable U Mobile to expand the delivery of mobile data services across Malaysia. Both companies, via a Memorandum of Understanding (MoU), will also collaborate on a 5G live network trial later this year.

 

A recent market report* predicts that mobile data usage in Malaysia will double during 2017-2022 to 10.4 GB per user per month, primarily driven by the rising consumption of online video content on smartphones. As a current provider of 3G and 4G mobile services via a combination of its own network and through a RAN sharing agreement, U Mobile wants to extend its network coverage and capacity to address this growing demand with a range of competitive services.

 

Under the three-year agreement, Nokia will deploy a Single RAN Advanced network in greenfield locations across Malaysia, facilitating U Mobile's aggressive network expansion and drive to provide customers with a superior data experience. With this deployment it also means customers all across Malaysia will be able to further enjoy U Mobile's unlimited innovations.

 

Additionally, Nokia and U Mobile recently signed a MoU to conduct a trial of the 5G live network. The trial will be done later this year and will demonstrate the 5G capability of enhanced Mobile Broadband (eMBB) as well as other 5G use cases such as in the fields of virtual reality (VR) and e-sports. The Single RAN Advanced Network, which is currently installed at U Mobile and using Nokia's AirScale base stations, is 5G-ready.

Nokia Oyj:n varsinainen yhtiökokous pidettiin 21.5.2019. Yhtiökokous hyväksyi kaikki hallituksen yhtiökokoukselle tekemät ehdotukset. Yhtiökokous vahvisti yhtiön tilinpäätöksen sekä myönsi vastuuvapauden hallituksen jäsenille ja toimitusjohtajalle tilikaudelta 2018. Lisäksi yhtiökokous päätti seuraavista asioista:

 

Varojenjako

Yhtiökokous päätti, ettei osinkoa jaeta varsinaisen yhtiökokouksen päätöksellä ja valtuutti hallituksen päättämään yhteensä enintään 0,20 euron varojenjaosta osakkeelta osinkona kertyneistä voittovaroista ja/tai pääoman palautuksena sijoitetun vapaan oman pääoman rahastosta.

 

Valtuutus on voimassa seuraavan varsinaisen yhtiökokouksen alkuun saakka. Valtuutusta voidaan käyttää varojen jakamiseen neljässä erässä valtuutuksen voimassaoloaikana, ellei hallitus perustellusta syystä päätä toisin. Hallitus tekee erilliset päätökset kunkin jakoerän määrästä ja ajankohdasta alla mainittujen alustavien täsmäytys- ja maksupäivien mukaisesti. Yhtiö julkistaa kunkin hallituksen päätöksen erikseen ja vahvistaa samassa yhteydessä asiaankuuluvat täsmäytys- ja maksupäivät.

Kukin erä maksetaan osakkeenomistajille, jotka ovat kyseisen erän täsmäytyspäivänä merkittynä Euroclear Finland Oy:n pitämään yhtiön osakasluetteloon.

 

Nokian hallitus päätti yhtiökokouksen jälkeen järjestäytymiskokouksessaan yhtiökokouksen myöntämän valtuutuksen nojalla maksaa osinkona 0,05 euroa osakkeelta kertyneistä voittovaroista. Osingonmaksun täsmäytyspäivä on 23.5.2019 ja osingon arvioitu maksupäivä on 6.6.2019. Suomen ulkopuolella osingon todellinen maksupäivä riippuu osingonmaksua välittävien pankkien menettelyistä. Nyt julkistetun varojenjaon jälkeen hallituksen jäljellä oleva valtuutus varojenjakoon on 0,15 euroa osakkeelta.

Yhtiökokous valitsi hallitukseen kymmenen jäsentä. Seuraavat hallituksen jäsenet valittiin uudelleen toimikaudeksi, joka jatkuu vuoden seuraavan varsinaisen yhtiökokouksen päättymiseen saakka: Sari Baldauf, Bruce Brown, Jeanette Horan, Edward Kozel, Elizabeth Nelson, Olivier Piou, Risto Siilasmaa, Carla Smits-Nusteling ja Kari Stadigh. Yhtiökokous päätti seuraavat vuosipalkkiot hallituksen jäsenille toimikaudeksi, joka jatkuu vuoden 2019 varsinaisen yhtiökokouksen päättymiseen saakka: hallituksen puheenjohtajalle 440 000 euroa, hallituksen varapuheenjohtajalle 185 000 euroa ja muille hallituksen jäsenille kullekin 160 000 euroa. Lisäksi yhtiökokous päätti, että tarkastusvaliokunnan ja henkilöstöpoliittisen valiokunnan puheenjohtajille maksetaan kummallekin vuosipalkkiona lisäksi 30 000 euroa, teknologiavaliokunnan puheenjohtajalle lisäksi 20 000 euroa ja tarkastusvaliokunnan muille jäsenille kullekin 15 000 euroa. Lisäksi yhtiökokous päätti kokouspalkkiosta, joka on 5 000 euroa mannerten välistä matkustamista edellyttävältä kokoukselta ja 2 000 euroa mantereen sisäistä matkustamista edellyttävältä kokoukselta. Kokouspalkkio maksetaan hallituksen ja sen valiokuntien kokouksista kaikille muille hallituksen jäsenille paitsi hallituksen puheenjohtajalle. Kokouspalkkio maksetaan enintään seitsemältä kokoukselta toimikauden aikana. Yhtiökokous päätti, että hallituksen jäsenille korvataan matka- ja majoituskulut sekä muut välittömästi hallitus- ja valiokuntatyöstä aiheutuneet kulut.

 

Lisäksi yhtiökokous päätti yhtiön Corporate Governance -ohjeen mukaisesti, että vuosipalkkioista noin 40 % maksetaan markkinoilta ostettavina Nokian osakkeina tai vaihtoehtoisesti käyttämällä yhtiön hallussa olevia omia osakkeita. Hallituksen jäsenten tulee säilyttää omistuksessaan kaikki hallituksen jäsenyydestä palkkiona kolmen ensimmäisen hallitusvuotensa aikana saamansa Nokian osakkeet jäsenyytensä päättymiseen saakka. Kokouspalkkio ja välittömästi hallitus- ja valiokuntatyöstä aiheutuneet kulut maksetaan rahana.

 

Tilintarkastaja

 

Yhtiökokous valitsi Nokia Oyj:n tilintarkastajaksi tilikaudeksi 2019 tilintarkastusyhteisö PricewaterhouseCoopers Oy:n ja tilikaudeksi 2020 tilintarkastusyhteisö Deloitte Oy:n. Lisäksi yhtiökokous päätti, että tilikaudeksi 2019 ja tilikaudeksi 2020 valitulle tilintarkastajalle maksetaan palkkio tilintarkastajan laskun mukaan, tarkastusvaliokunnan hyväksymien hankintaperiaatteiden mukaisesti.

 

Varsinaisen yhtiökokouksen muut päätökset

 

Yhtiökokous valtuutti hallituksen päättämään enintään 550 miljoonan Nokian osakkeen hankkimisesta. Osakkeita voidaan hankkia mitätöitäväksi, pidettäväksi yhtiön hallussa, luovutettavaksi edelleen tai muihin hallituksen päättämiin tarkoituksiin. Yhtiön omia osakkeita voidaan hankkia muutenkin kuin osakkeenomistajien omistamien osakkeiden suhteessa (suunnattu hankinta). Valtuutus on voimassa 21.11.2020 saakka ja se päätti varsinaisen yhtiökokouksen 30.5.2018 hallitukselle antaman vastaavan valtuutuksen.

 

Yhtiökokous valtuutti hallituksen lisäksi päättämään enintään 550 miljoonan osakkeen antamisesta osakeannilla tai antamalla osakkeisiin oikeuttavia erityisiä oikeuksia yhdessä tai useammassa erässä. Valtuutusta voidaan käyttää yhtiön pääomarakenteen kehittämiseen, omistuspohjan laajentamiseen, yrityskauppojen tai muiden järjestelyiden rahoittamiseen tai toteuttamiseen, yhtiön osakepohjaisten kannustinohjelmien toteuttamiseen tai muihin hallituksen päättämiin tarkoituksiin. Valtuutuksen mukaan hallitus voi päättää antaa joko uusia osakkeita tai yhtiön hallussa olevia omia osakkeita. Valtuutus sisältää hallituksen oikeuden päättää kaikista osakeannin sekä mainittujen erityisten oikeuksien antamisen ehdoista, mukaan lukien oikeuden antaa osakkeita tai erityisiä oikeuksia osakkeenomistajien merkintäetuoikeudesta poiketen laissa määritellyin edellytyksin. Valtuutus on voimassa 21.11.2020 saakka ja se päätti varsinaisen yhtiökokouksen 30.5.2018 hallitukselle antaman vastaavan valtuutuksen. Valtuutus ei päättänyt ylimääräisen yhtiökokouksen 2.12.2015 Nokian ja Alcatel Lucentin yhdistymisen toteuttamiseksi hallitukselle antamaa osakeantia koskevaa valtuutusta.

 

TULEVAISUUTTA KOSKEVAT LAUSUMAT

Nokiaan ja sen liiketoimintoihin liittyy erilaisia riskejä ja epävarmuustekijöitä, ja tietyt tässä esitetyt lausumat, jotka eivät koske jo toteutuneita seikkoja, ovat tulevaisuutta koskevia lausumia. Nämä tulevaisuutta koskevat lausumat heijastavat Nokian tämänhetkisiä odotuksia ja näkemyksiä tulevaisuudesta. Resolutions of the Nokia Annual General Meeting 2019; the Board of Directors resolved to distribute EUR 0.05 per share as the first instalment of dividend

 

Espoo, Finland -The Annual General Meeting (AGM) of Nokia Corporation was held on May 21, 2019. The AGM approved all the proposals of the Board of Directors (Board) to the AGM. The AGM adopted the company's financial statements and discharged the members of the Board of Directors and the President and Chief Executive Officer from liability for the financial year 2018. In addition, the AGM adopted the following resolutions:

 

Distribution of funds

The AGM decided that no dividend is distributed by a resolution of the AGM and authorized the Board of Directors to resolve on the distribution of an aggregate maximum of EUR 0.20 per share as dividend from the retained earnings and/or as repayment of capital from the fund for invested unrestricted equity.

 

The authorization is valid until the opening of the next Annual General Meeting and it can be used to distribute funds in four instalments during the validity of the authorization, unless the Board decides otherwise for a justified reason. The Board makes separate resolutions on the amount and timing of each distribution with preliminary record and payment dates stated below. The Company announces each Board resolution separately and confirms the relevant record and payment dates in such announcements.

Each instalment will be paid to the shareholders that are registered in the Company's Register of Shareholders maintained by Euroclear Finland Oy on the record date of the relevant instalment.

 

In an assembly meeting that took place after the AGM the Board resolved under the authorization by the Annual General Meeting to distribute a dividend of EUR 0.05 per share from the retained earnings. The dividend record date is on May 23, 2019 and the dividend is expected to be paid on or about June 6, 2019. The actual dividend pay date outside Finland will be determined by the practices of the intermediary banks transferring the dividend payments. Following this announced distribution, the remaining distribution authorization of the Board is EUR 0.15 per share.

 

Members of the Board of Directors and Board Committees elected

 

The AGM resolved to elect ten members to the Board. The following members of the Board were re-elected for a term ending at the close of the next Annual General Meeting: Sari Baldauf, Bruce Brown, Jeanette Horan, Edward Kozel, Elizabeth Nelson, Olivier Piou, Risto Siilasmaa, Carla Smits-Nusteling and Kari Stadigh. In addition, Søren Skou was elected as a new member of the Board for the same term. In an assembly meeting that took place after the AGM, the Board elected Risto Siilasmaa as Chair of the Board, and Sari Baldauf as Vice Chair of the Board. The Board also elected the members of the four Board committees. Carla Smits-Nusteling was elected as Chair and Jeanette Horan, Edward Kozel, Elizabeth Nelson and Olivier Piou as members of the Audit Committee. Bruce Brown was elected as Chair and Sari Baldauf, Elizabeth Nelson, Søren Skou and Kari Stadigh as members of the Personnel Committee. Risto Siilasmaa was elected as Chair and Sari Baldauf, Bruce Brown, Carla Smits-Nusteling and Kari Stadigh as members of the Corporate Governance and Nomination Committee. Edward Kozel was elected as Chair and Bruce Brown, Jeanette Horan, Olivier Piou and Risto Siilasmaa as members of the Technology Committee.

 

The AGM resolved the following annual fees to be paid to the members of the Board for the term ending at the Annual General Meeting in 2020: EUR 440 000 for the Chair of the Board, EUR 185 000 for the Vice Chair of the Board and EUR 160 000 for each Board member. In addition, the AGM resolved that the Chairs of the Audit Committee and the Personnel Committee will each be paid an additional annual fee of EUR 30 000, Chair of the Technology Committee an additional annual fee of EUR 20 000 and other members of the Audit Committee an additional annual fee of EUR 15 000 each. The AGM also resolved to pay a meeting fee of EUR 5 000 per meeting requiring intercontinental travel and EUR 2 000 per meeting requiring continental travel for Board and Committee meetings to all the other Board members except the Chair of the Board. The meeting fee would be paid for a maximum of seven meetings per term. The AGM resolved that the members of the Board of Directors shall be compensated for travel and accommodation expenses as well as other costs directly related to Board and Committee work.

 

In addition, the AGM resolved, in line with Company's Corporate Governance Guidelines, that approximately 40% of the annual remuneration will be paid in Nokia shares purchased from the market, or alternatively by using treasury shares held by the Company. The members of the Board shall retain until the end of their directorship such number of shares that corresponds to the number of shares they have received as Board remuneration during their first three years of service in the Board. The meeting fee and costs directly related to Board and Committee work will be paid in cash.

 

Auditor

 

The AGM elected PricewaterhouseCoopers Oy as the auditor for Nokia for the fiscal year 2019 and Deloitte Oy as the auditor for Nokia for the fiscal year 2020. In addition, the AGM resolved that the auditor elected for 2019 and for 2020 be reimbursed based on the invoice of the auditor and in compliance with the purchase policy approved by the Audit Committee.

 

Other resolutions of the Annual General Meeting

 

The AGM authorized the Board to resolve to repurchase a maximum of 550 million Nokia shares. Shares may be repurchased to be cancelled, held to be reissued, transferred further or for other purposes resolved by the Board.  The shares may be repurchased otherwise than in proportion to the shares held by the shareholders (directed repurchase). The authorization is effective until November 21, 2020 and it terminated the corresponding repurchase authorization granted by the Annual General Meeting on May 30, 2018.

 

The AGM also resolved to authorize the Board to issue a maximum of 550 million shares through issuance of shares or special rights entitling to shares in one or more issues. The authorization may be used to develop the Company's capital structure, diversify the shareholder base, finance or carry out acquisitions or other arrangements, settle the Company's equity-based incentive plans, or for other purposes resolved by the Board. Under the authorization, the Board may issue new shares or shares held by the Company. The authorization includes the right for the Board to resolve on all the terms and conditions of the issuance of shares and special rights entitling to shares, including issuance of shares or special rights in deviation from the shareholders' pre-emptive rights within the limits set by law. The authorization is effective until November 21, 2020 and it terminated the corresponding authorization granted by the Annual General Meeting on May 30, 2018. The authorization did not terminate the authorization by the Extraordinary General Meeting held on December 2, 2015 granted to the Board for issuance of shares in order to implement the combination of Nokia and Alcatel Lucent.
