Nokia Board of Directors resolved on a directed share issuance to Nokia employees participating in the Employee Share Purchase Plan 2014

 

Espoo, Finland - Nokia announced that Nokia's Board of Directors has resolved on a directed issuance of a maximum amount of 141 581 Nokia shares (NOKIA) held by the company to Nokia employees participating in the Employee Share Purchase Plan 2014. The one-year cycle of the Employee Share Purchase Plan 2014 ended on July 31, 2015.

 

Under the terms and conditions of the Employee Share Purchase Plan 2014 Nokia will offer one matching share for every two shares purchased under the plan which the participant still held as at July 31, 2015. The shares are issued without consideration. As the issued shares are held by the company, the total number of the company's outstanding shares does not change as a consequence of the share issuance. The shares will be delivered to the employees in October 2015.

 

The Board of Directors approved the launch of the Employee Share Purchase Plan 2014 as part of the Nokia Equity Program 2014 on February 14, 2014 to encourage employee share ownership, commitment and engagement. The resolution to issue shares is based on the authorization granted to the Board by the Annual General Meeting on May 5, 2015.

Nokian hallitus päätti suunnatusta osakeannista vuoden 2014 osakesäästöohjelmaan osallistuneille Nokian työntekijöille

Nokian hallitus on päättänyt yhtiön hallussa olevilla omilla osakkeilla toteutettavasta, enintään 141 581 Nokian osakkeen (NOKIA) suunnatusta osakeannista Nokian vuoden 2014 osakesäästöohjelmaan osallistuneille työntekijöille. Vuoden 2014 osakesäästöohjelman yksivuotinen säästökausi päättyi 31.7.2015.

Vuoden 2014 osakesäästöohjelman ehtojen mukaan Nokia antaa kullekin ohjelmaan osallistuvalle työntekijälle yhden lisäosakkeen jokaista sellaista kahta ohjelmassa ostettua osaketta kohden, jotka työntekijällä oli hallussaan vielä 31.7.2015. Osakkeet annetaan vastikkeetta. Annettavat osakkeet ovat yhtiön hallussa olevia omia osakkeita eikä yhtiön liikkeeseenlaskemien osakkeiden kokonaismäärä siten muutu osakeannin seurauksena. Osakkeet toimitetaan työntekijöille lokakuussa 2015.

Hallitus hyväksyi vuoden 2014 osakesäästöohjelman 14.2.2014 osana vuoden 2014 osakepalkkiojärjestelmää kannustaakseen työntekijöitä osakeomistukseen ja yhtiöön sitoutumiseen. Päätös osakeannista perustuu varsinaisen yhtiökokouksen 5.5.2015 hallitukselle antamaan valtuutukseen.

Mobile networks and data liberalization hold key to successful ITS deployments - HERE and SBD whitepaper

Berlin, Germany - In the effort to reduce traffic congestion and improve safety with intelligent transportation systems (ITS), government and the private sector should look to existing mobile network infrastructure and be prepared to embrace data liberalization, according to automotive research firm SBD and HERE.

In their joint whitepaper, SBD and HERE argue that ITS managers can avoid the pitfalls that have plagued many ITS projects during the last decade by taking advantage of recent technological advances.

"Spending on ITS has so far tended to end up in costly hardware-heavy projects, the vast majority of which have not been commercially sustainable," said the co-authors of the study Andrew Hart of SBD and Bernd Fastenrath of HERE. "Fortunately, the growth of powerful mobile networks, the proliferation of sensors and the increasing maturity of connected data analytics are paving the way for software-richer ITS designs. For ITS managers, it means effective solutions are attainable which are affordable, scalable and interoperable."

The authors argue that any design lacks utility, however, if ITS participants fail to enter into a new spirit of collaboration, especially around data. A city in motion generates a tremendous volume of data yet, for the most part, that data is untapped and its potential value is not fully captured. To do so means connecting vehicles, individuals, city and road infrastructure, and traffic authorities to enable a meaningful volume of quality data to be pooled and analyzed - no single car manufacturer or road transit authority can create a data ecosystem alone.


According to SBD and HERE, some USD 89 billion has been spent in the last decade on large-scale ITS schemes which have either failed to meet their stated objectives or suffered lengthy delays. Additionally, despite a large volume of government-funded research projects and trials, a disproportionately small number have translated into commercial deployments. In many cases, the critical enabling technologies have lacked maturity, have been too costly, or have not been sufficiently user-friendly.

HERE technology harnesses big data to deliver traffic intelligence to government and drivers alike

Chicago - HERE, a leader in mapping, navigation and location experiences, has recently been selected by the Georgia, Alabama and Missouri state departments of transportation (DOT) as the provider of probe-based Traffic Services to enhance driver safety and improve traffic flow management and planning strategies. HERE combines precision mapping, big data analytics and deep insights to create high quality traffic service for government transportation agencies. 

HERE is providing the Georgia, Alabama and Missouri DOTs with real-time traffic data for the states' roadways. This data enables the DOTs to communicate to drivers up-to-the-minute information about current traffic conditions and travel times. The agencies also utilize HERE data for traffic operations, situational awareness, and performance management, including bottleneck identification, trend spotting, construction planning, "before and after" traffic studies and more.

Georgia DOT (GDOT) is now the seventh state along the eastern seaboard to utilize HERE Traffic Services. HERE was selected by GDOT through an agreement with the I-95 Corridor Coalition, which supports transportation agencies from Maine to Florida. The I-95 Corridor Coalition's most recent quality tests showed HERE has outstanding overall performance for detecting congested road conditions.

For more than 15 years, HERE has worked with national, state and local government agencies to better inform drivers of changing conditions, create safer road conditions, and ensure people and goods move smoothly through road networks.

Since 2009, HERE has provided the Michigan Department of Transportation (MDOT) with real-time and archived traffic data. MDOT has successfully leveraged the HERE dataset to reduce overall system congestion through the execution of data-driven approaches to resource allocation (e.g. snow plow routes during storms), providing reliable and up-to-date traveler information to the public, and strategically prioritizing construction projects.

"Safety is the top priority at the Michigan Department of Transportation (MDOT) as we focus our efforts on improving traffic flow," said MDOT Director Kirk Steudle. "This data enables a safer road network and helps the environment because reducing congestion also reduces emissions."

HERE has also partnered with MDOT, the University of Michigan, and many other industry stakeholders to test connected and automated driving technologies at the Mcity facility in Ann Arbor, Michigan. HERE is creating the precision HD Map of Mcity, which is an indispensable component to making highly automated driving a reality.

Nokia and the French Government announce agreement on a shared vision of innovation in France enabled by Nokia's proposed combination with Alcatel-Lucent

Paris, France and Espoo, Finland - Nokia's President and Chief Executive Officer Rajeev Suri met today with Emmanuel Macron, France's Minister of Economy, Industry and Digital Affairs, to formally affirm Nokia's commitment to driving innovation in France and, globally, from France, that will result from Nokia's proposed combination with Alcatel-Lucent. Today's announcement follows an open and fruitful dialogue between Nokia and the French Government since the proposed combination was announced in April 2015.

In its discussions with the French Government, Nokia has confirmed that France will play a leading role in the combined entity's Research and Development ("R&D") operations. Nokia will build on the strong competencies in the country within key technology areas, on the existing presence of Alcatel-Lucent and its strong engagement in the technology ecosystem in France, and on the excellent new technical talent available from French universities.

Nokia intends to leverage Alcatel-Lucent's existing capabilities in R&D and its strong talent base through worldwide technology centers located in France that will focus on 5G and Small Cells, Cyber-security and privacy, Bell Labs, Wireless Transmission, Optical transmission, and IP platforms.

Nokia expects to benefit from becoming a deeply embedded part of France, tapping into and helping develop the technology ecosystem of the country. Nokia will invest further in the digital innovation ecosystem in France following the completion of the transaction, primarily through the establishment of a long-term investment fund in the range of EUR 100 million. This fund will mainly target the Internet of Things, cyber-security and software platform enablers for next generation networks.

Nokia intends to support the development of the overall telecom ecosystem in France and to ensure continuity of Alcatel-Lucent's current initiatives. This involves playing an active role in the government's "Industry of the Future" program, funding academic tuition, programs and chairs, situating technology experts within France (such as within Bell Labs France), and continuing Alcatel-Lucent's involvement in major initiatives such as Pôles de compétitivité Systematic, Cap Digital, and Images and Réseaux. Nokia will also develop three industrial platforms and networks prototypes in France within the fields of 5G, Industrial Internet / Internet of Things connectivity and cyber-security.

As previously announced, Nokia has also committed to maintaining employment in France that is consistent with Alcatel-Lucent's Shift Plan commitments for a period of at least two years after completion of the proposed transaction. R&D capacity is planned to be increased from 2 000 to 2 500 employees over the next three years, including the recruitment of at least 300 new graduates. The R&D employment level will be maintained for a period of at least four years after completion of the proposed transaction.

Following the completion of the transaction, Nokia, which will remain headquartered in Finland, intends to leverage the combined strengths of the companies' strategic business locations and major R&D centers in other countries, including Finland, Germany, the United States and China.

The transaction is expected to be completed in the first half of 2016. It remains subject to a number of other closing conditions, such as Nokia shareholder approvals, Nokia holding over 50.00% of Alcatel-Lucent's fully diluted share capital following completion of the exchange offer, receipt of the remaining regulatory approvals and other customary conditions. Nokia has committed, upon completion of the transaction, to providing regular updates to the French government as the integration of the two companies progresses.

Pariisi ja Espoo - Nokian toimitusjohtaja Rajeev Suri tapasi tänään Ranskan talousministeri Emmanuel Macronin vahvistaakseen virallisesti Nokian sitoutumisen innovaatioiden edistämiseen Ranskassa sekä maailmanlaajuisesti Ranskasta käsin, seurauksena Nokian suunnitellusta yhdistymisestä Alcatel-Lucentin kanssa. Tämän päivän julkistus jatkaa Nokian ja Ranskan hallituksen avointa ja hedelmällistä vuoropuhelua, jota on käyty siitä lähtien kun suunniteltu yhdistyminen julkistettiin huhtikuussa 2015.

Tutkimus- ja tuotekehitysosaamista suunnitellaan kasvatettavaksi 2 000:sta 2 500:een työntekijään seuraavan kolmen vuoden aikana mukaan lukien vähintään 300:n vastavalmistuneen palkkaaminen. Tutkimus- ja tuotekehityshenkilöstön määrän taso säilytetään vähintään neljän vuoden ajan suunnitellun transaktion toteutumisen jälkeen.

Transaktion toteutumisen jälkeen Nokian pääkonttori pysyy Suomessa ja Nokia aikoo hyödyntää yhtiöiden yhdistettyjä vahvuuksia strategisissa toimipaikoissa ja merkittävissä tutkimus- ja tuotekehityskeskuksissa muissa maissa mukaan lukien Suomi, Saksa, Yhdysvallat ja Kiina.

Transaktion odotetaan toteutuvan vuoden 2016 ensimmäisellä puoliskolla. Sen toteutuminen edellyttää tiettyjen ehtojen täyttymistä kuten Nokian osakkeenomistajien hyväksyntää, Nokian yli 50,00 prosentin omistusosuutta Alcatel-Lucentin osakepääomasta täysi laimennusvaikutus huomioiden julkisen osakevaihtotarjouksen päättyessä, jäljellä olevien viranomaislupien saamista sekä muiden tavanomaisten ehtojen täyttymistä. Espoo - Oikeustieteen kandidaatti Minna Aila on nimitetty Nokian yhteiskuntasuhteista vastaavaksi johtajaksi. Hän siirtyy Nokiaan Outotecistä, jossa hän toimi markkinointi-, viestintä- ja yritysvastuujohtajana.

Minna Ailan vastuualueisiin kuuluvat Nokian yhteiskuntasuhteet, sisäinen ja ulkoinen viestintä sekä yhteiskuntavastuu. Hän raportoi markkinointi- ja yhteiskuntasuhdejohtaja Barry Frenchille.

"Olen hyvin iloinen saadessamme Minnan johtamaan yhteiskuntasuhdetiimejämme", sanoo Barry French. "Hänellä on syvällinen ja laaja kokemus, hän on inspiroiva johtaja ja sitoutunut tekemään oikeita asioita oikealla tavalla".

Nokia receives clearance from the Committee on Foreign Investment in the United States for the proposed acquisition of Alcatel-Lucent

Espoo, Finland - Nokia today announced that it has obtained clearance from the Committee on Foreign Investment in the United States ("CFIUS") for its proposed acquisition of Alcatel-Lucent. With the conclusion of the CFIUS process and the previously announced antitrust clearance by the U.S. Department of Justice, the companies have received the required regulatory approvals for the proposed transaction in the United States.

Both companies will continue to work closely with the few remaining antitrust authorities in the relevant jurisdictions to conclude their regulatory reviews as quickly as possible. The proposed transaction remains subject to approval by Nokia shareholders, Nokia holding over 50.00% of the share capital of Alcatel-Lucent on a fully diluted basis upon completion of the public exchange offer, receipt of the remaining regulatory approvals and other customary conditions. The proposed transaction is expected to close in the first half of 2016.

Nokia, Ericsson and Intel Working Together on Next-Generation Wireless Connectivity for Internet of Things Market Segment

Espoo, Finland - Nokia, Ericsson and Intel Corporation today announced their support for Narrow-Band Long-Term Evolution (NB-LTE) technology as the ideal wireless connectivity solution for the growing Internet of Things (IoT) market segment.

NB-LTE is an optimized variant of the widely deployed 4G LTE technology, and is well-suited for the IoT market segment because of its low implementation cost, ease of use and power efficiency. Nokia plans to work closely with Ericsson and Intel to develop and bring to market the products needed for the commercialization of NB-LTE timed with market demand.

This development will bring consumers benefits such as enhanced and improved connectivity of devices, and at lower cost. Intel intends to support commercial roll-out of the technology with a roadmap for NB-LTE chipsets and product upgrades beginning in 2016 that will enable slim form factors. The products will add to Intel's growing LTE portfolio. Nokia and Ericsson will provide the required network upgrades to support an extension of existing LTE networks with NB-LTE optimized for low power Machine-to-Machine communication.

HERE powers majority of the 54 cars launching at Frankfurt Motor Show

Berlin, Germany - Of the dozens of new commercial cars being launched at the Frankfurt Motor Show (IAA) this year, many have one thing in common: they have in-dash map data from HERE.

HERE is in 49 of the 54* new car models being presented by more than 25 marques at the show, demonstrating the continued trust the world's leading carmakers are placing in HERE maps and location services.

HERE was on board more than 7 million cars sold globally during the first six months of 2015.

Espoo, Finland - Based on Nokia Corporation's 2011 Stock Option Plan a total of 279 750 Nokia shares were subscribed for between August 4 and August 31, 2015. The subscription price was EUR 5.76 per share for 32 000 shares, EUR 3.50 per share for 100 000 shares and EUR 2.18 per share for 147 750 shares. The total amount of the subscription price, EUR 856 415.00, will be recorded in the fund for invested non-restricted equity and, consequently, the share capital of the company does not increase.

 

The amount of Nokia shares after registration of the shares in the Trade Register is 3 678 641 891 shares. The new shares carry all the shareholder rights as of the registration date September 4, 2015. The shares are subject to trading in Nasdaq Helsinki together with other Nokia shares (NOKIA) as of September 4, 2015.

Nokia Oyj:n vuoden 2011 optio-ohjelman optio-oikeuksilla on 4.8.-31.8.2015 välisenä aikana merkitty 279 750 kappaletta Nokian osakkeita. Merkintähinta oli 5,76 euroa osakkeelta 32 000 osakkeen osalta, 3,50 euroa osakkeelta 100 000 osakkeen osalta ja 2,18 euroa osakkeelta 147 750 osakkeen osalta. Osakemerkinnöistä saatu merkintähinta, yhteensä 856 415,00 euroa kirjataan kokonaisuudessaan sijoitetun vapaan oman pääoman rahastoon eikä yhtiön osakepääomaa merkintöjen seurauksena koroteta. 

Nokian osakkeiden kokonaismäärä on rekisteröinnin jälkeen 3 678 641 891 kappaletta. Uudet osakkeet tuottavat kaikki osakkeenomistajan oikeudet rekisteröintipäivästä 4.9.2015 lukien. Osakkeet otetaan 4.9.2015 lukien kaupankäynnin kohteeksi Nasdaq Helsingissä muiden Nokian osakkeiden (NOKIA) kanssa.
