Nokia to fully acquire Siemens' stake in Nokia Siemens Networks

Espoo, Finland and Munich, Germany - Nokia Corporation and Siemens AG today announced that they have entered into a definitive agreement pursuant to which Nokia acquires Siemens' entire 50% stake in their joint venture, Nokia Siemens Networks. The acquisition has been approved by the Board of Directors of Nokia as well as the Managing and Supervisory Boards of Siemens, and is subject to the customary regulatory approval process.

The purchase price for Siemens' stake is EUR 1.7 billion and the transaction is expected to close during the third calendar quarter of 2013. Upon closing of the planned acquisition, Nokia Siemens Networks will become a wholly owned subsidiary of Nokia.

Nokia Siemens Networks was established on April 1, 2007, as a joint venture combining Nokia's Networks Business Group and Siemens' carrier-related operations for fixed and mobile networks. Nokia Siemens Networks has since become a leading global provider of telecommunications infrastructure, deploying networks that help people stay connected in more than 150 countries around the world. The company's focus is in offering innovative mobile broadband technology and services.

Nokia will continue to consolidate Nokia Siemens Networks for financial reporting purposes as well as continue to strengthen the company as a more independent entity.

Accordingly, Nokia plans to retain the existing management and governance structure at Nokia Siemens Networks, with Rajeev Suri continuing as CEO and Jesper Ovesen continuing as Executive Chairman of the Nokia Siemens Networks Board of Directors, which will adjust to the changing ownership structure.

Nokia Siemens Networks' operational headquarters will remain in Espoo, Finland, and the company will continue to have a strong regional presence in Germany, including its major hub in Munich. Nokia supports the current management plan, including the already in-progress Nokia Siemens Networks restructuring plan that remains unchanged as a result of this announcement.

In accordance with this transaction, the Siemens name will be phased out from Nokia Siemens Networks' company name and branding. Nokia and Nokia Siemens Networks plan to confirm the new name and brand at the closing of the transaction.

The purchase price totals EUR 1.7 billion, of which EUR 1.2 billion will be paid in cash at the closing of the transaction. The balance of EUR 0.5 billion will be paid in the form of a secured loan from Siemens due one year from closing. Nokia has obtained committed bank financing for the EUR 1.2 billion cash portion.

At the end of the first quarter 2013, Nokia had gross cash of EUR 10.1 billion and net cash of EUR 4.5 billion. Nokia currently estimates that at the end of the second quarter 2013, Nokia had gross cash of between EUR 9.2 billion - EUR 9.7 billion and net cash of between EUR 3.7 billion - EUR 4.2 billion. For comparison purposes, if the transaction to purchase Siemens' 50% stake had been closed during the second quarter 2013, Nokia currently estimates that it would have ended the second quarter of 2013 with gross cash of between EUR 9.2 billion - EUR 9.7 billion and net cash of between EUR 2.0 billion - EUR 2.5 billion, reflecting the deduction of the purchase price of EUR 1.7 billion from Nokia net cash.

Ratingen, Germany and Espoo, Finland - Nokia has announced that Miele & Cie. KG, a global leader in premium domestic appliances and commercial machinery for laundry care, dishwashing and disinfection, is switching to Nokia Lumia as the smartphone of choice for its global employees.

Built on Microsoft's Windows Phone 8 platform, Nokia Lumia smartphones enable mobile access to Miele's business applications such as Microsoft Outlook and SharePoint. Additionally, Nokia Lumia offers Miele employees the benefits of a modern smartphone, including secure access at no additional cost to Microsoft Office documents, information and contacts. Also available on Nokia Lumia are free navigation apps, including HERE Maps and HERE Drive, which allow maps to be downloaded via wireless LAN, reducing data traffic and network charges.

To increase the efficiency of its users and infrastructure, Miele has already equipped all its work stations with Microsoft products. "The seamless connection to our existing Microsoft infrastructure as well as the great navigation and camera technology make Lumia an excellent addition to our existing IT systems," said Egbert Fichtler, Head of IT Infrastructure, Miele.

Miele piloted Nokia Lumia over several months with more than 100 of its people. Mr Fichtler added: "Nokia Lumia exceeded our expectations both in terms of user experience and the look and feel of the devices, and so we are happy to continue rollout during the second half of 2013, with over 1,000 more devices for employees in Germany. The free navigation with HERE Drive helps our service team to plan routes to customers, while the great cameras in Nokia Lumia mean we can document service cases immediately on site helping us to save time and money."

In Germany, Miele is deploying Nokia Lumia on the Deutsche Telekom network. Espoo, Finland - Nokia announced that the Nokia Asha 501, the first of a new generation of smartphones to run on the new Asha Platform, will start selling this week in Thailand and Pakistan, with availability in India soon to follow. The new device will roll out in subsequent weeks across countries in Europe, the Middle East and Africa, Asia-Pacific and Latin America.

Images captured on Nokia Lumia devices help spread the word of progress

London, UK - Leveraging the power of mobile technology, Nokia has partnered with The ONE Campaign to support their mission of ending extreme poverty around the world. ONE's new music-based campaign, agit8, launches today to showcase the incredible progress that has been made in the fight and to amplify the call for action. Extreme poverty has been cut in half in the last 20 years, and the facts show that it can be virtually eliminated by 2030 - but only if we act now. The campaign includes a digital music platform featuring new video recordings of classic protest songs, a new film that will be projected on the iconic façade of the Tate Modern in London and impromptu live performances. As the visual voice of this once-in-a-lifetime global media campaign, Nokia is helping spread the word via images captured around the world.

Evocative images taken by prominent photojournalists, bloggers, amateur photographers and celebrities across the world using Nokia's Lumia 920 smartphone will be projected onto the Tate Modern the evenings of 11-13 June. Moreover Nokia is encouraging its community to make their voices heard by capturing and sharing images, stories and experiences that support ONE's "Progress via Protest" theme. The images, inspired by protest songs, are available to view and can be shared on Twitter using the official hashtag #nokiaxONECampaign or uploaded to Nokia's official Facebook page (facebook.com/Nokia).

Visitors to one.org/protestsongs will find beautiful photography powered by Nokia alongside a diverse array of artists putting their own spin on classic protest songs. The site will include video performances from everyone from internationally-known artists to street buskers, and gives users the opportunity to add their voice to the fight against extreme poverty

Espoo, Finland - Nokia today announced the sales start for Nokia Lumia 925, which introduces a metal design and showcases the latest PureView camera innovation, new features and third party applications for the Nokia Lumia range. Following the sales start in Germany, the smartphone will continue to roll out next in other European markets and China, followed by the U.S. and other markets worldwide.

The Nokia Lumia 925 captures the best low-light images thanks to the most advanced lens technology and next-generation imaging software. It also features the new Nokia Smart Camera, an easy way to capture ten images at once and edit them afterwards with options like Best Shot and Action Shot.

The Nokia Lumia 925 introduces metal for the first time to the Nokia Lumia range with the polycarbonate back coming in white, grey or black. A wireless charging cover, available separately in white, black, yellow, and red can be clipped onto the back of the phone to take advantage of Nokia's extensive wireless charging accessories and ecosystem.

An additional feature coming to Lumia first with the Nokia Lumia 925 is a beta version of the Nokia Glance Screen introducing the standby screen clock. Now, with a quick look and without pushing any buttons, users can see the time and the battery level indicator on the screen when the phone is not used. A double tap on the standby screen now wakes the phone up, making it easier to unlock.

The Nokia Lumia 925 offers a variety of exclusive services such as Nokia Music for unlimited streaming of free music playlists. The suite of integrated location and navigation services include HERE Drive+ and HERE Maps. Additionally, HERE Maps with augmented reality view is available in the Store for download.
