Espoo, Finland – Nokia today announced it is working with Vodafone and RingCentral to showcase Immersive Voice and Audio Services (IVAS) – the future of voice communication, providing users with a natural, three-dimensional sound experience even when calling from a remote location. The joint demonstration on the Vodafone booth at MWC 2025 highlights the companies' commitment to deliver advanced IVAS-enabled business, industrial and consumer use cases and enhance voice communication.

 

IVAS will transform traditional voice services by adding an immersive audio experience that allows people to hear sound spatially in real-time, making conversations and interaction natural, and lifelike. There are significant opportunities for enhanced audio services, from elevating business communications if dialing into a meeting remotely to transforming industrial operations, education, sports and events, as well as mobile voice calls.

Developed through the collaboration of 13 companies, the IVAS standard was included in the 3GPP Release 18, building on the widely used Enhanced Voice Services (EVS) known as HD Voice+.

 

One of the key innovations during IVAS standardization was the creation of a new parametric audio format, Metadata-Assisted Spatial Audio (MASA), designed specifically for devices with design constraints and challenging form factors for spatial audio, like smartphones. The IVAS codec integrates a built-in renderer that supports head-tracked binaural audio and multi-loudspeaker playback for immersive formats, including MASA.

 

To enable the experiences at Mobile World Congress an immersive voice client software development kit serves as the IVAS front-end, capturing spatial audio from device microphones and converting it into the standardized MASA format. This technology enables true 3D immersive audio experiences for various types of voice calls.

Riyadh, Saudi Arabia – Nokia today announced that ACES-NH successfully deployed Saudi Arabia's first-ever 25G PON-based neutral host network, marking a significant milestone in the country's fiber evolution. Built on Nokia's fiber technology, the new network enables multiple service providers to leverage a unified infrastructure, minimizing redundancy and driving enhanced connectivity to bolster Saudi Arabia's Vision 2030.

 

The neutral host model allows multiple service providers to share a high-performance fiber broadband network, improving efficiency and reducing infrastructure duplication. As the leading supplier of 25G PON technology, Nokia equips ACES-NH with a future-ready fiber platform, supporting evolving use cases — from residential broadband and enterprise connectivity to smart city services and industrial applications.

 

ACES-NH' open access network, powered by Nokia's Altiplano Access Controller, leverages automation to streamline operations. Espoo, Finland – Globe Telecom, one of the largest telecommunications operators in the Philippines with over 60 million subscribers, today announced that it is collaborating with Nokia to provide banks and other enterprises with enhanced security through the utilization of network Application Programming Interfaces (APIs).

 

Globe Telecom, which already uses a host of other Nokia solutions including 5G RAN, is testing Nokia's Network Exposure Platform in expanding and simplifying the number of APIs available to the operator and its enterprise partners to enable the creation of security-focused applications. APIs provide access to deep functionality and data within networks, allowing application developers to utilize those network capabilities to build new use cases for their customers.

 

"With cyberattacks on banking services accelerating, it is crucial that we make available the latest network-powered technologies to our enterprise customers and help them safeguard against fraud. We are now at the stage of testing how Nokia's NEP can support our customers in the banking and enterprise sectors with security verification tools to prevent fraudulent transactions," said Joel Agustin, Globe's Head of Service Planning and Engineering.

 

Nokia Network Exposure Platform (NEP) is an implementation of the GSMA Operator Platform, a standard for a common platform exposing operator capabilities to developers. Globe Telecom and Nokia contribute to GSMA Open Gateway and Linux Foundation CAMARA, both of which are leading the way to harmonize the efforts of operators around the world through the development of standards-based APIs. 

 

Nokia NEP complements and integrates with Nokia's Network as Code platform with developer portal, which aligns with the GSMA Open Gateway aggregator concept and provides a cloud-based platform to connect and monetize service provider networks with application developers.

Since launching the Network as Code platform in September 2023, Nokia's ecosystem of Network as Code platform partners has grown to 48 currently and includes BT, Orange, StarHub, Telefonica, and Telecom Argentina. Nokia's commitment to API monetization extends beyond network-side aggregation and includes hyperscalers like Google Cloud; Communications Platform as a Service (CPaaS) platform providers such as Infobip; large system integrators such as Global Logic; vertical independent software vendors like Elmo; and the world's largest public API hub through Nokia's recent acquisition of Rapid.

Espoo, Finland – Nokia has been recognized as the overall leader in ABI Research's competitive ranking for Telco Scope 3 Emissions Management, the company announced today. Nokia was awarded with the highest scores in both the implementation and innovation categories. This ranking assesses top telecom vendors based on their efforts, progress and long-term commitment in reducing Scope 3 emissions, the largest contributor to their carbon footprint. These emissions arise from upstream and downstream activities, including customer product usage and supplier operations.

 

Nokia was recognized for its efforts in reducing the power consumption of its products across its portfolio. Espoo, Finland – Nokia today announced that it is adding support for 415 legacy TR-069-based broadband devices to its Corteca Cloud. Supporting both the legacy TR-069 and new TR-369 protocols, Nokia's Corteca Cloud provides CSPs with a single pane of glass for legacy and new broadband devices, simplifying in-home Wi-Fi connectivity and device management.

 

For the past 20 years, the TR-069 protocol has been used to manage approximately 1 billion broadband devices worldwide, enabling CSPs to remotely provision and maintain customer-premises equipment (CPE). The new TR-369 protocol introduces significant new capabilities for new devices, but transitioning away from TR-069 will take years. By supporting both protocols, Nokia's Corteca Cloud allows CSPs to manage devices efficiently today while adapting for the future.

Espoo, Finland – Nokia today announced that Nokia, Nippon Telegraph and Telephone (NTT) and Anritsu Corporation successfully conducted a first-of-its-kind Proof of Concept (PoC) to demonstrate the effectiveness of Elastic networking in bringing down energy usage in mobile networks.

 

Elastic networking has been developed under the Innovative Optical and Wireless Network (IOWN) Global Forum. When deployed, Elastic networking helps reduce its energy costs by switching away network resources from the secondary destination to a primary destination effectively having the ability to hibernate radio and optical equipment at the same time. And when necessary, such as sudden bursts in traffic, network resources can be switched over on demand when required. The end users, especially in densely populated urban areas, will not experience any network degradation or performance. This technology will enable operators like NTT to better address future bandwidth demands driven by AI while lowering energy consumption.

 

Nokia's high-performance optical solution, including the 1830 Time-sensitive Packet Switch (TPS) and 1830 Photonic Service Switch (PSS), was used to conduct the PoC.

 

James Watt, Vice President and General Manager, Optical Networks Division at Nokia, said: "Reducing power consumption across our product portfolio is a priority for Nokia to help boost energy efficiency and significantly cut our customers' carbon footprint. This successful PoC highlights the trusted performance and resilience of our optical products. Espoo, Finland – Telefónica, the top operator in Spain for enterprise customers, has selected Nokia's Packet Core solution to enhance the scale, capacity, performance, and reliability of its 4G and 5G network for enterprise customers in the country while simplifying its network architecture.

 

Nokia Packet Core solutions will support Telefónica in rolling out low-latency services like drone control, robotics and industrial applications, smart metering that enables real-time monitoring and billing for utility consumers, and other use cases to the operator's enterprise customers.

 

Telefónica and Nokia already collaborate on a host of other network technologies, including 5G RAN, XGSPON, IP and Optical transport, network analytics, and network APIs. Telefónica will deploy Nokia Cloud Mobile Gateway and Nokia Mediation on its telco cloud, providing flexibility and operational efficiencies with its multi-vendor and multi-cloud capabilities.

 

Nokia Cloud Mobile Gateway will enable Telefonica to more efficiently manage and route user traffic for enterprises, a key operator growth area.

Amman, Jordan – Nokia and Orange Jordan have announced the successful upgrade of Orange Jordan's Broadband Network Gateway (BNG) with Nokia's cutting-edge 7750 Service Router (SR) platforms. This strategic initiative marks a significant milestone in enhancing broadband services across Jordan, delivering superior connectivity and operational efficiency for both the operator and its customers.

Kutsu Nokia Oyj:n varsinaiseen yhtiökokoukseen

 

Nokia Oyj:n osakkeenomistajat kutsutaan Nokia Oyj:n varsinaiseen yhtiökokoukseen, joka pidetään tiistaina, huhtikuun 29. päivänä 2025 klo 13.00 Finlandia-talossa osoitteessa Mannerheimintie 13e, Helsinki.

 

Kokoukseen ilmoittautuneiden vastaanottaminen ja äänilippujen jakaminen aloitetaan klo 12.00. Kokouksen jälkeen on kahvitarjoilu.

Osakkeenomistajat voivat käyttää äänioikeuttaan myös äänestämällä ennakkoon. Ohjeet ennakkoäänestykseen on esitetty tämän yhtiökokouskutsun osassa C.

Osakkeenomistajien on mahdollista seurata yhtiökokousta verkkolähetyksen välityksellä. Verkkolähetyksen välityksellä tapahtuvaa kokouksen seuraamista ei kuitenkaan pidetä yhtiökokoukseen osallistumisena tai osakkeenomistajien oikeuksien käyttämisenä. A. Varsinaisessa yhtiökokouksessa käsiteltävät asiat

Yhtiökokouksessa käsitellään seuraavat asiat:

1. Kokouksen avaaminen

2. Kokouksen järjestäytyminen

3. Pöytäkirjantarkastajan ja ääntenlaskun valvojan valitseminen

4. Kokouksen laillisuuden toteaminen

5. Läsnä olevien toteaminen ja ääniluettelon vahvistaminen

6. Vuoden 2024 tilinpäätöksen, toimintakertomuksen ja tilintarkastuskertomuksen esittäminen

- Toimitusjohtajan katsaus, tilintarkastuskertomus ja kestävyysraportoinnin varmennuskertomus

7. Tilinpäätöksen vahvistaminen

8. Taseen osoittaman voiton käyttäminen ja hallituksen valtuuttaminen päättämään osingonjaosta ja varojen jakamisesta sijoitetun vapaan oman pääoman rahastosta

Hallitus ehdottaa yhtiökokoukselle, että 31.12.2024 päättyneeltä tilikaudelta vahvistettavan taseen perusteella ei jaeta osinkoa varsinaisen yhtiökokouksen päätöksellä, vaan hallitus valtuutettaisiin päättämään yhteensä enintään 0,14 euron jakamisesta osakkeelta osinkona kertyneistä voittovaroista ja/tai varoina sijoitetun vapaan oman pääoman rahastosta.

Valtuutusta käytettäisiin osingon ja/tai sijoitetun vapaan oman pääoman rahaston varojen jakamiseen neljässä erässä valtuutuksen voimassaoloaikana, ellei hallitus perustellusta syystä päätä toisin. Valtuutus olisi voimassa seuraavan varsinaisen yhtiökokouksen alkuun saakka. Hallitus tekisi erilliset päätökset kunkin osingon ja/tai sijoitetun vapaan oman pääoman rahaston varojen jakamisen määrästä ja ajoituksesta siten, että alustavat täsmäytys- ja maksupäivät ovat alla mainitut. Yhtiö julkistaa erikseen kunkin tällaisen hallituksen päätöksen.

Hallituksen päätöksen perusteella jaettava osinko ja/tai varojenjako sijoitetun vapaan oman pääoman rahastosta maksetaan osakkeenomistajalle, joka kunkin maksuerän täsmäytyspäivänä on merkittynä Euroclear Finland Oy:n ylläpitämään yhtiön osakasluetteloon.

9. Vastuuvapaudesta päättäminen hallituksen jäsenille ja toimitusjohtajalle tilikaudelta 2024

10. Palkitsemisraportin käsittely

Palkitsemisraportti vuodelta 2024 on saatavilla yhtiön internetsivuilla www.nokia.com/yhtiokokous2025 viikolla 11, 2025. Palkitsemisraportti esitetään yhtiökokoukselle vahvistettavaksi. Päätös palkitsemisraportin vahvistamisesta on neuvoa-antava.

11. Palkitsemispolitiikan käsittely

Hallitus ehdottaa, että yhtiökokous vahvistaa päivitetyn palkitsemispolitiikan. Päivitetty palkitsemispolitiikka on tänään saatavilla yhtiön internetsivuilla www.nokia.com/yhtiokokous2025 ja julkistetaan lisäksi tämän yhtiökokouskutsun liitteenä. Yhtiökokouksen päätös palkitsemispolitiikan vahvistamisesta on neuvoa-antava.

12. Hallituksen jäsenten palkkioista päättäminen

Hallitus ehdottaa yhtiökokoukselle nimitysvaliokunnan suosituksesta, että yhtiökokouksessa valittavien hallituksen jäsenten vuosipalkkiot toimikaudelta, joka päättyy seuraavan varsinaisen yhtiökokouksen päättyessä, pysyisivät tasoltaan muuttumattomana:

• 440 000 euroa hallituksen puheenjohtajalle,
• 210 000 euroa hallituksen varapuheenjohtajalle,
• 185 000 euroa kullekin muulle hallituksen jäsenelle,
• tarkastusvaliokunnan ja henkilöstövaliokunnan puheenjohtajalle kullekin lisäksi 30 000 euroa sekä teknologiavaliokunnan ja strategiavaliokunnan puheenjohtajalle kullekin lisäksi 20 000 euroa, ja
• tarkastusvaliokunnan ja henkilöstövaliokunnan kullekin jäsenelle lisäksi 15 000 euroa sekä teknologiavaliokunnan ja strategiavaliokunnan kullekin jäsenelle lisäksi 10 000 euroa.
  
  

Hallitus ehdottaa, että vuosipalkkioista noin 40 prosenttia maksetaan Nokian osakkeina. Vuosipalkkion loppuosa maksetaan rahana palkkiosta aiheutuvien verojen kattamiseksi. Hallituksen jäsenten tulee säilyttää omistuksessaan kaikki hallituksen jäsenyydestä palkkiona kolmen ensimmäisen hallitusvuotensa aikana saamansa Nokian osakkeet jäsenyytensä päättymiseen saakka. Hallituksen jäsenen toimikauden päättyessä ennen vuoden 2026 varsinaista yhtiökokousta, hallitus voi harkintansa mukaan päättää maksettujen vuosipalkkioiden mahdollisesta takaisinperinnästä.

Lisäksi hallitus ehdottaa, että hallituksen ja sen valiokuntien kokouksista maksettavat kokouspalkkiot pysyvät nykyisellä tasolla. Nämä kokouspalkkiot perustuvat hallituksen jäsenen kotipaikan ja kokouspaikan väliseen mahdolliseen matkustamiseen ja ne maksettaisiin enintään seitsemältä kokoukselta toimikauden aikana seuraavasti:

• 5 000 euroa mannerten välistä matkustamista edellyttävältä kokoukselta, ja
• 2 000 euroa mantereen sisäistä matkustamista edellyttävältä kokoukselta.

Kokouspalkkio maksetaan vain kerran, jos palkkioon oikeuttavaan matkustamiseen sisältyy useita hallituksen ja sen valiokuntien kokouksia. Lisäksi ehdotetaan, että hallituksen jäsenille korvataan matka- ja majoituskulut sekä muut välittömästi hallitus- ja valiokuntatyöstä aiheutuneet kulut.

13. Hallituksen jäsenten lukumäärästä päättäminen

Hallitus ehdottaa yhtiökokoukselle nimitysvaliokunnan suosituksesta, että yhtiön hallituksen jäsenten lukumääräksi vahvistetaan kymmenen (10). Mikäli yksi tai useampi hallituksen esittämistä ehdokkaista on kuitenkin estynyt, hallituksen jäsenten lukumääräksi vahvistettaisiin vastaavasti pienempi lukumäärä.

14. Hallituksen jäsenten valitseminen

Hallitus ehdottaa yhtiökokoukselle nimitysvaliokunnan suosituksesta, että yhtiön hallituksen jäseniksi toimikaudelle, joka päättyy seuraavan varsinaisen yhtiökokouksen päättyessä, valitaan seuraavat henkilöt yksilövaalissa:

1)    Timo Ahopelto (nykyinen jäsen)

2)    Sari Baldauf (nykyinen jäsen, puheenjohtaja)

3)    Elizabeth Crain (nykyinen jäsen)

4)    Thomas Dannenfeldt (nykyinen jäsen)

5)    Pernille Erenbjerg (uusi jäsenehdokas)

6)    Lisa Hook (nykyinen jäsen)

7)    Timo Ihamuotila (uusi jäsenehdokas)

8)    Mike McNamara (nykyinen jäsen)

9)    Thomas Saueressig (nykyinen jäsen)

10)    Kai Öistämö (nykyinen jäsen).

Hallituksen jäsenehdokkaiden ansioluettelot ovat saatavilla yhtiön internetsivuilla www.nokia.com/yhtiokokous2025.

Nimitysvaliokunta on arvioinut, että hallitukseen ehdolla olevat jäsenet mahdollistavat hallituksen tehokkaan työskentelyn ja soveltuvat tehtävään sekä kokonaisuutena että kukin erikseen osaamisensa, kokemuksensa sekä muiden henkilökohtaisten ominaisuuksiensa puolesta hallituksen monimuotoisuusperiaatteet ja yhtiön nykyiset sekä tulevat tarpeet huomioiden.

Kaikki hallituksen jäsenehdokkaat ovat antaneet suostumuksensa tehtävään ja heidät on arvioitu riippumattomiksi Nokiasta ja sen merkittävistä osakkeenomistajista Suomen listayhtiöiden hallinnointikoodin ja soveltuvien New Yorkin pörssin sääntöjen mukaisesti.

Nimitysvaliokunta aikoo ehdottaa yhtiökokouksen jälkeen pidettävässä uuden hallituksen järjestäytymiskokouksessa Sari Baldaufin uudelleenvalintaa hallituksen puheenjohtajaksi ja Timo Ihamuotilan valintaa hallituksen varapuheenjohtajaksi edellyttäen, että yhtiökokous on valinnut heidät hallitukseen.

15. Tilintarkastajan palkkiosta päättäminen

Hallitus ehdottaa yhtiökokoukselle tarkastusvaliokunnan suosituksesta, että tilikaudelle 2026 valittavalle tilintarkastajalle maksetaan palkkio tarkastusvaliokunnan hyväksymien hankintaperiaatteiden mukaisesti ja yhtiön hyväksymän laskun mukaan.

16. Tilintarkastajan valitseminen tilikaudelle 2026

Hallitus ehdottaa yhtiökokoukselle, että osakkeenomistajat valitsevat tilintarkastajan tämän valinta-ajankohtaa seuraavalle tilikaudelle. Hallitus ehdottaa yhtiökokoukselle tarkastusvaliokunnan suosituksesta Deloitte Oy:n uudelleenvalintaa yhtiön tilintarkastajaksi tilikaudelle 2026.

Deloitte Oy on ilmoittanut yhtiölle, että päävastuullisena tilintarkastajana toimisi KHT Jukka Vattulainen.

17. Kestävyysraportoinnin varmentajan palkkiosta päättäminen

Hallitus ehdottaa yhtiökokoukselle tarkastusvaliokunnan suosituksesta, että tilikaudelle 2026 valittavalle kestävyysraportoinnin varmentajalle maksetaan palkkio tarkastusvaliokunnan hyväksymien hankintaperiaatteiden mukaisesti ja yhtiön hyväksymän laskun mukaan.

18. Kestävyysraportoinnin varmentajan valitseminen tilikaudelle 2026

Hallitus ehdottaa yhtiökokoukselle, että osakkeenomistajat valitsevat yhtiön kestävyysraportoinnin varmentajan tämän valinta-ajankohtaa seuraavalle tilikaudelle. Hallitus ehdottaa yhtiökokoukselle tarkastusvaliokunnan suosituksesta kestävyystarkastusyhteisö Deloitte Oy:n uudelleenvalintaa yhtiön kestävyysraportoinnin varmentajaksi tilikaudelle 2026.

Deloitte Oy on ilmoittanut yhtiölle, että mikäli se valitaan yhtiön kestävyysraportoinnin varmentajaksi, päävastuullisena kestävyysraportointitarkastajana tilikaudella 2026 tulee toimimaan KHT, KRT Jukka Vattulainen.

19. Hallituksen valtuuttaminen päättämään omien osakkeiden hankkimisesta

Hallitus ehdottaa, että yhtiökokous valtuuttaa hallituksen päättämään enintään 530 miljoonan Nokian osakkeen hankkimisesta, mikä vastaa alle 10 prosenttia yhtiön kaikista osakkeista. Valtuutuksen nojalla tehtäviin hankintoihin ehdotetaan käytettäväksi yhtiön vapaaseen omaan pääomaan kuuluvia varoja hallituksen päättämällä tavalla, mikä tarkoittaa hankintojen vähentävän yhtiön jakokelpoisia varoja.

Valtuutuksen nojalla hankittavista osakkeista maksettavan vastikkeen tulee perustua arvopaperimarkkinoilla vallitsevaan Nokian osakkeen hintaan hankintapäivänä tai muutoin kilpailullisessa menettelyssä muodostuvaan hintaan. Osakkeita voidaan hankkia mitätöitäväksi, pidettäväksi yhtiön hallussa, luovutettavaksi edelleen tai muihin hallituksen päättämiin tarkoituksiin. Yhtiö voi tehdä pääomamarkkinoilla tavanomaisia johdannais-, osakelainaus- tai muita järjestelyjä. Yhtiön omia osakkeita voidaan hankkia muutenkin kuin osakkeenomistajien omistamien osakkeiden suhteessa (suunnattu hankinta). Hallitus päättäisi muista yhtiön omien osakkeiden hankkimiseen liittyvistä seikoista.

Valtuutuksen ehdotetaan olevan voimassa 28.10.2026 saakka ja se päättää varsinaisen yhtiökokouksen 3.4.2024 hallitukselle antaman hankintavaltuutuksen siltä osin kuin hallitus ei ole jo tehnyt takaisinostoa koskevia päätöksiä valtuutuksen perusteella.

20. Hallituksen valtuuttaminen päättämään osakeannista sekä osakkeisiin oikeuttavien erityisten oikeuksien antamisesta

Hallitus ehdottaa, että yhtiökokous valtuuttaa hallituksen päättämään yhteensä enintään 530 miljoonan osakkeen antamisesta osakeannilla tai antamalla osakeyhtiölain 10 luvun 1 §:n mukaisia osakkeisiin oikeuttavia erityisiä oikeuksia yhdessä tai useammassa erässä valtuutuksen voimassaoloaikana. Hallitus voi päättää antaa joko uusia osakkeita tai yhtiön hallussa olevia omia osakkeita. Ehdotettu valtuutuksen enimmäismäärä vastaa alle 10 prosenttia yhtiön kaikista osakkeista.

Osakkeita tai osakkeisiin oikeuttavia erityisiä oikeuksia voidaan antaa osakkeenomistajien merkintäetuoikeudesta poiketen laissa määritellyin edellytyksin. Valtuutusta voidaan käyttää yhtiön pääomarakenteen kehittämiseen, omistuspohjan laajentamiseen, yrityskauppojen tai muiden järjestelyjen rahoittamiseen tai toteuttamiseen, yhtiön osakepohjaisten kannustinohjelmien toteuttamiseen tai muihin hallituksen päättämiin tarkoituksiin. Hallituksella olisi oikeus päättää kaikista osakeannin sekä osakeyhtiölain 10 luvun 1 §:n mukaisten osakkeisiin oikeuttavien erityisten oikeuksien antamisen ehdoista.

Valtuutuksen ehdotetaan olevan voimassa 28.10.2026 saakka ja päättävän varsinaisen yhtiökokouksen 3.4.2024 antaman osakeantia ja osakkeisiin oikeuttavien erityisten oikeuksien antamista koskevan valtuutuksen.

21. Kokouksen päättäminen

B. Yhtiökokousasiakirjat

Tämä kokouskutsu ja yhtiökokouksen asialistalla olevat hallituksen ehdotukset, mukaan lukien päivitetty palkitsemispolitiikka, ovat saatavilla yhtiön internetsivuilla www.nokia.com/yhtiokokous2025. Palkitsemisraportti, Nokia vuonna 2024 -vuosikertomus, joka sisältää yhtiön tilinpäätöksen, hallituksen toimintakertomuksen sisältäen kestävyysraportin, tilintarkastuskertomuksen ja kestävyysraportoinnin varmennuskertomuksen, ovat saatavilla yllä mainituilla internetsivuilla viikolla 11, 2025. Kaikki hallituksen ehdotukset ja muut kokousasiakirjat ovat nähtävillä myös yhtiökokouksessa. Yhtiökokouksen pöytäkirja on saatavilla yhtiön edellä mainituilla internetsivuilla viimeistään 13.5.2025.

C. Ohjeita yhtiökokoukseen osallistuville

1. Osallistumisoikeus ja ilmoittautuminen

Oikeus osallistua yhtiökokoukseen on osakkeenomistajalla, joka on yhtiökokouksen täsmäytyspäivänä 15.4.2025 merkittynä Euroclear Finland Oy:n ylläpitämään yhtiön osakasluetteloon. Osakkeenomistaja, jonka osakkeet on rekisteröity tämän henkilökohtaiselle suomalaiselle arvo-osuustilille, on merkittynä yhtiön osakasluetteloon. Osakkeenomistajia, joilla ei ole suomalaista arvo-osuustiliä, pyydetään seuraamaan jäljempänä kohdan 4. Hallintarekisteröityjen osakkeiden omistajat tai kohdan 5. ADR-osaketalletustodistusten haltijat mukaisia ohjeita.

Ilmoittautuminen yhtiökokoukseen alkaa 11.3.2025 klo 10.00. Yhtiön osakasluetteloon merkityn osakkeenomistajan, joka haluaa osallistua yhtiökokoukseen, tulee ilmoittautua viimeistään 22.4.2025 klo 16.00, mihin mennessä ilmoittautumisen on oltava perillä. Yhtiökokoukseen voi ilmoittautua:

a)   yhtiön internetsivuilla www.nokia.com/yhtiokokous2025

Ilmoittautuminen edellyttää henkilöomistajalta vahvaa sähköistä tunnistautumista. Osakkeenomistaja voi tällä tavoin ilmoittautuessaan samalla kertaa myös äänestää ennakkoon ja valtuuttaa asiamiehen. Yhteisöomistajien osalta edellytetään y-tunnusta ja arvo-osuustilin numeroa. Lisätietoja kohdassa 3. Asiamiehen käyttäminen ja valtakirjat.

b)   kirjeitse osoitteeseen Nokia Oyj, Osakerekisteri, PL 226, 00045 NOKIA GROUP; tai

c)   puhelimitse numeroon +358 20 770 6870 maanantaista perjantaihin klo 9.00–16.00 välisenä aikana.

Ilmoittautumisen yhteydessä tulee ilmoittaa osakkeenomistajan nimi, henkilötunnus/syntymäaika tai y-tunnus, osoite, puhelinnumero sekä mahdollisen avustajan tai asiamiehen nimi ja asiamiehen henkilötunnus/syntymäaika.

2. Äänestäminen ennakkoon

Osakkeenomistajat, joilla on suomalainen arvo-osuustili, voivat äänestää ennakkoon tietyistä yhtiökokouksen asialistalla olevista asiakohdista ilmoittautumisen yhteydessä tai myöhemmin erikseen yhtiön internetsivujen kautta www.nokia.com/yhtiokokous2025.

Ennakkoäänestys alkaa ilmoittautumisen yhteydessä 11.3.2025 klo 10.00 ja päättyy 22.4.2025 klo 16.00.

Äänestäminen ennakkoon edellyttää henkilöomistajalta vahvaa sähköistä tunnistautumista pankkitunnuksilla tai mobiilivarmenteella.

Yhteisöomistajien osalta sähköinen ennakkoäänestäminen edellyttää y-tunnusta ja arvo-osuustilin numeroa. Mikäli yhteisöomistaja käyttää sähköistä Suomi.fi-valtuutusta, äänestäminen edellyttää valtuutetulta vahvaa sähköistä tunnistautumista, joka toimii pankkitunnuksilla tai mobiilivarmenteella. Ennakkoäänestyksen kohteena oleva päätösehdotus katsotaan esitetyn muuttumattomana yhtiökokouksessa.

Ennakkoon äänestäneen osakkeenomistajan, joka haluaa käyttää osakeyhtiölain mukaista kyselyoikeuttaan, vaatia äänestystä yhtiökokouksessa tai äänestää mahdollisesta vastaehdotuksesta tulee itse tai asiamiehen välityksellä osallistua yhtiökokoukseen kokouspaikalla.

Ennakkoäänestystä koskevat ohjeet ovat myöhemmin saatavilla myös yhtiön internetsivuilla www.nokia.com/yhtiokokous2025.

Hallintarekisteröidyn osakkeenomistajan osalta ennakkoäänestys tapahtuu omaisuudenhoitajan tilinhoitajan välityksellä. Tilinhoitaja voi äänestää ennakkoon edustamiensa hallintarekisteröityjen osakkeenomistajien puolesta näiden antamien äänestysohjeiden mukaisesti hallintarekisteröityjen osakkeiden omistajille asetettuna ilmoittautumisaikana.

3. Asiamiehen käyttäminen ja valtakirjat

Osakkeenomistaja saa osallistua yhtiökokoukseen asiamiehen välityksellä. Osakkeenomistajan asiamiehen on esitettävä päivätty valtakirja tai hänen on muuten luotettavalla tavalla osoitettava olevansa oikeutettu edustamaan osakkeenomistajaa. Mikäli osakkeenomistaja osallistuu yhtiökokoukseen usean asiamiehen välityksellä, jotka edustavat osakkeenomistajaa eri arvopaperitileillä olevilla osakkeilla, on ilmoittautumisen yhteydessä ilmoitettava osakkeet, joiden perusteella kukin asiamies edustaa osakkeenomistajaa.

Mahdolliset valtakirjat pyydetään toimittamaan sähköpostitse osoitteeseen agm@nokia.com tai postitse osoitteeseen Nokia Oyj, Osakerekisteri, PL 226, 00045 NOKIA GROUP viimeistään 22.4.2025 klo 16.00 mennessä. Mikäli valtakirja toimitetaan kopiona, alkuperäinen valtakirja pyydetään esittämään paikan päällä yhtiökokouksessa. Valtakirjan haltijan tai valtuuttavan osakkeenomistajan tulee erikseen muistaa ilmoittautua yhtiökokoukseen.

Malli valtakirjaksi on saatavilla yhtiön internetsivuilla www.nokia.com/yhtiokokous2025.

Osakkeenomistaja voi käyttää myös sähköistä Suomi.fi-valtuuttamispalvelua perinteisen valtakirjan sijaan. Tällöin osakkeenomistaja valtuuttaa nimeämänsä valtuutetun Suomi.fi-palvelussa käyttämällä valtuusasiaa "Yhtiökokouksessa edustaminen". Lisätietoja www.suomi.fi/valtuudet.

4. Hallintarekisteröityjen osakkeiden omistajat

Hallintarekisteröityjen osakkeiden omistajalla on oikeus osallistua yhtiökokoukseen niiden osakkeiden nojalla, joiden perusteella hänellä olisi oikeus olla merkittynä Euroclear Finland Oy:n ylläpitämään yhtiön osakasluetteloon yhtiökokouksen täsmäytyspäivänä 15.4.2025. Osallistuminen edellyttää lisäksi, että osakkeenomistaja on näiden osakkeiden nojalla viimeistään 24.4.2025 klo 14.00 mennessä tilapäisesti merkitty Euroclear Finland Oy:n ylläpitämään osakasluetteloon. Hallintarekisteriin merkittyjen osakkeiden osalta tämä katsotaan ilmoittautumiseksi yhtiökokoukseen.

Hallintarekisteröityjen osakkeiden omistajia kehotetaan pyytämään hyvissä ajoin omaisuudenhoitajaltaan tarvittavat ohjeet koskien tilapäistä rekisteröitymistä yhtiön osakasluetteloon, valtakirjojen ja äänestysohjeiden antamista sekä ilmoittautumista yhtiökokoukseen.

Omaisuudenhoitajan tilinhoitajan tulee ilmoittaa hallintarekisteröidyn osakkeen omistaja, joka haluaa osallistua varsinaiseen yhtiökokoukseen, tilapäisesti merkittäväksi yhtiön osakasluetteloon sekä huolehtia tarvittaessa ennakkoäänestämisestä hallintarekisteröidyn osakkeen omistajan puolesta tämän antamien äänestysohjeiden mukaisesti yllä mainittuun ajankohtaan 24.4.2025 klo 14.00 mennessä.

Hallintarekisteröidyn osakkeen omistajan mahdollisten äänestysohjeiden ottaminen huomioon kokouksessa edellyttää, että osakkeenomistaja on ilmoittautunut yhtiökokoukseen ja että osakkeenomistaja on kokouksessa läsnä tai edustettuna.

Selvyyden vuoksi todetaan, että hallintarekisteröityjen osakkeiden omistajat eivät voi suoraan ilmoittautua yhtiökokoukseen yhtiön verkkosivuilla, vaan ilmoittautuminen on tehtävä omaisuudenhoitajan välityksellä. Lisätietoja on saatavilla myös yhtiön internetsivuilla www.nokia.com/yhtiokokous2025.

5. ADR-osaketalletustodistusten haltijat

ADR-osaketalletustodistusten haltijan, joka aikoo käyttää äänioikeuttaan yhtiökokouksessa, tulee viipymättä ilmoittaa osallistumisestaan Citibank N.A.:lle noudattaen Citibank N.A.:n erikseen toimittamia ohjeita.

6. Muut ohjeet ja tiedot

Osakeyhtiölain ja arvopaperimarkkinalain edellyttämät yhtiökokousta koskevat tiedot ovat saatavilla yhtiön internetsivuilla www.nokia.com/yhtiokokous2025. Yhtiökokoukseen ilmoittautuneella ja paikalla olevalla osakkeenomistajalla on yhtiökokouksessa osakeyhtiölain 5 luvun 25 §:n mukainen kyselyoikeus kokouksessa käsiteltävistä asioista.

Osakkeenomistajien, heidän edustajiensa ja mahdollisten avustajien on todistettava henkilöllisyytensä kokouspaikalle saavuttaessa. Yhtiölle luovutettuja tai kokouspaikalla esitettyjä henkilötietoja käsitellään vain yhtiökokoukseen liittyvien tarpeellisten tunnistautumisten ja rekisteröintien yhteydessä. Yhtiökokousta koskeva tietosuojaseloste on saatavilla yhtiön edellä mainituilla internetsivuilla.

Kokouspaikka sijaitsee hyvien julkisten liikenneyhteyksien varrella. Osakkeenomistajia pyydetään huomioimaan, että pysäköinti läheisillä pysäköintialueilla on maksullista.

Yhtiökokous pidetään pääasiassa suomen kielellä, mutta osa puheenvuoroista, kuten toimitusjohtajan katsaus, esitetään englanniksi. Kokouksessa on simultaanitulkkaus suomeksi, englanniksi ja ruotsiksi.

Osakkeenomistajien on mahdollista seurata yhtiökokousta ja esittää kysymyksiä kokouksessa käsiteltävinä olevista asiakohdista verkkolähetyksen välityksellä. Verkkolähetyksen välityksellä tapahtuvaa kokouksen seuraamista ei pidetä yhtiökokoukseen osallistumisena tai osakkeenomistajan oikeuksien käyttämisenä. Verkkolähetyksen kautta esitettyjä kysymyksiä ei näin ollen katsota osakkeenomistajan kysely- ja puheoikeuden käyttämiseksi eikä osakeyhtiölain 5 luvun 25 §:n mukaisesti yhtiökokouksessa esitetyiksi kysymyksiksi. Verkkolähetyksen kautta esitettyjä kysymyksiä käsitellään kokouksessa asiakohdittain puheenjohtajan tarkoituksenmukaiseksi katsomassa laajuudessa. Tarkempia ohjeita verkkolähetyksen seuraamiseen on myöhemmin saatavilla yhtiön internetsivuilla www.nokia.com/yhtiokokous2025.

Osakkeenomistuksessa yhtiökokouksen täsmäytyspäivän jälkeen tapahtuneet muutokset eivät vaikuta oikeuteen osallistua yhtiökokoukseen eivätkä osakkeenomistajan äänimäärään.

Nokia Oyj:llä on tämän kokouskutsun päivänä yhteensä 5 605 850 345 osaketta ja ääntä.
