Muutokset Nokia Oyj:n omien osakkeiden omistuksessa

 

Espoo – Nokia on tänään luovuttanut 318 026 yhtiön hallussa ollutta Nokian osaketta (NOKIA) vastikkeetta suorituksena Nokian osakepohjaisiin kannustinohjelmiin osallistuneille henkilöille ohjelmien ehtojen mukaisesti. Osakkeiden luovutus perustuu 4.10.2023 julkistettuun hallituksen päätökseen yhtiön hallussa olevien osakkeiden antamisesta ohjelmien mukaisten sitoumusten täyttämiseksi.

 

Nokia Oyj:n hallussa olevien omien osakkeiden lukumäärä luovutuksen jälkeen on 103 158 430.

Espoo, Finland – A total of 318 026 Nokia shares (NOKIA) held by the company were transferred today without consideration to participants of Nokia's equity-based incentive plans in accordance with the rules of the plans. The transfer is based on the resolution of the Board of Directors to issue shares held by the company to settle its commitments to participants of the plans as announced on 4 October 2023.

 

The number of own shares held by Nokia Corporation following the transfer is 103 158 430.

Nokia ja Ranskan valtio ovat allekirjoittaneet myyntioption ASN:stä 350 miljoonan euron arvolla. Myynti on ehdollinen relevanttien työntekijöitä edustavien tahojen konsultoinnille.

 

  • Sopimus on osoitus Nokian sitoutumisesta liiketoimintaportfolionsa jatkuvaan kehittämiseen ja toiminnan keskittämiseen ydinalueille.
  • Sopimuksen myötä Verkkoinfrastruktuuri-liiketoimintaryhmän portfolio on paremmin fokusoitunut ja sen kannattavuus paranee.
  • Kauppa varmistaa sen, että ranskalais-eurooppalainen, strategisesti tärkeä ja markkinoiden johtava liiketoiminta kehittyy edelleen.
  • Kaupan myötä ASN voi jatkaa hyvää kehitystä, jonka se on saavuttanut osana Nokiaa.
  • Sujuvan siirtymän varmistamiseksi Nokia säilyttää ASN:ssä 20 %:n omistusosuuden ja edustuksen hallituksessa sovitun ajanjakson loppuun.

Espoo - Nokia ilmoitti tänään, että se on allekirjoittanut myyntioption merenalaisten verkkojen liiketoimintansa, Alcatel Submarine Networksin (ASN), myynnistä 350 miljoonan euron arvolla Ranskan valtiolle, jota edustaa sen omistusyhtiö Agence des participations de l'Etat (APE). Kauppa on ehdollinen Nokian ja ASN:n relevanttien työntekijöitä edustavien tahojen konsultoinnille. Sujuvan siirtymän varmistamiseksi Nokia säilyttää ASN:ssä 20 %:n omistusosuuden ja edustuksen hallituksessa sovitun ajanjakson loppuun, jonka jälkeen Ranskan valtio lunastaa Nokian jäljellä olevan osuuden.

 

ASN on ollut Nokian ydinliiketoiminnasta erillinen liiketoiminta-alue ja myynnin myötä Nokia voi keskittyä kasvumahdollisuuksiin Verkkoinfrastruktuuri-liiketoimintaryhmänsä avainmarkkinoilla sekä parantaa liiketoimintaryhmän kannattavuutta. Suunniteltu kauppa on osoitus Nokian sitoutumisesta liiketoimintaportfolionsa jatkuvaan kehittämiseen, mikä on yksi yhtiön kuudesta strategisesta kulmakivestä.

 

Nokia odottaa käsittelevänsä ASN:ää lopetettuna toimintona vuoden 2024 toisesta vuosineljänneksestä lähtien. Jatkossa Nokian Verkkoinfrastruktuuri-liiketoimintaryhmä koostuu kolmesta liiketoimintayksiköstä, jotka ovat: Fixed Networks, IP Networks ja Optical Networks. Kaupan myötä Verkkoinfrastruktuuri-liiketoimintaryhmän vuositason liikevaihdon odotetaan laskevan noin miljardilla eurolla, mutta liikevoittoprosentin kasvavan 1–1,5 prosenttiyksikköä. Kauppa ei vaikuta Nokian aiemmin ilmoittamiin taloudellisiin näkymiin, jotka on julkaistu vuoden 2024 ensimmäisen vuosineljänneksen osavuosikatsauksessa 18.4.2024.

 

ASN on ranskalainen, maailmanlaajuisesti toimiva merenalaisten tietoliikenneverkkojen markkinajohtaja, jolla on ainutlaatuinen asema alan end-to-end-kokonaisratkaisujen toimittajana. Nokian omistuksessa ASN:n liikevaihto on kasvanut merkittävästi ja merikaapeleiden kysynnän ja merkityksen kasvaessa edelleen, sillä on hyvät mahdollisuudet hyötyä tämän laajan markkinan kasvupotentiaalista.

 

Ehdotettu ASN:n myynti Ranskan valtiolle perustuu laajoihin keskusteluihin Nokian ja Ranskan valtion välillä. Neuvotteluiden tuloksena Ranskan valtion todettiin olevan sopivin omistaja ASN:lle, sillä Ranskan valtio on vakaa omistaja, jolla on pitkäjänteinen kiinnostus kriittisen infrastruktuurin rakentamiseen ja ylläpitoon. Tämä varmistaa toiminnan jatkuvuuden ASN:n asiakkaiden, työntekijöiden ja kumppaneiden näkökulmasta.

 

Ranskan valtio ymmärtää ASN:n historian, toiminnan ja avainsidosryhmäsuhteiden merkittävyyden ja on osoittanut täyden tukensa ASN:n johdolle ja nykyiselle strategialle. Ranskan valtio on sitoutunut jatkamaan investointeja ASN:n liiketoimintaan ja tukemaan sen vertikaalisesti integroitua teknologiaportfoliota kestävällä tavalla.

 

Ranskan valtion omistusyhtiönä APE:lla on merkittäviä omistuksia useilla teollisuuden aloilla, palvelusektorilla ja yrityksissä, ja se palvelee asiakkaitaan maailmanlaajuisesti. ASN:n ollessa APE:n omistuksessa Ranskan valtio varmistaa vahvan ranskalaisen ja eurooppalaisen toimijan tulevaisuuden maailmanlaajuisesti kilpailluilla markkinoilla.

 

Tavoitteena on, että kauppa saadaan toteutettua vuoden 2024 loppuun mennessä tai vuoden 2025 alkupuolella sen jälkeen, kun ASN:n Ranskan yritysneuvoston virallinen kuuleminen ja muut tavanomaiset kauppaa koskevat ehdot ja viranomaishyväksynnät on saatu päätökseen.

ASN on ollut Nokian ydinliiketoiminnasta erillinen liiketoiminta-alue. Nokia enters into an agreement with the French State regarding the sale of leading submarine networks business ASN


 

Nokia has signed a put option agreement with the French State contemplating the sale of ASN for an Enterprise Value of EUR 350 million, subject to informing and consulting with relevant employee representative bodies. This proposal:

  • Demonstrates Nokia's commitment to active portfolio management and focus on key strategic assets.
  • Focuses the portfolio and improves profitability of the Network Infrastructure business group.
  • Ensures continued development of a strategic, market-leading French and European business.
  • ASN is well-positioned to build on the transformation achieved under Nokia.
  • Nokia will retain a 20% shareholding and board representation until targeted exit to ensure a smooth transition.

Espoo, Finland – Nokia today announces it has entered into a put option to sell Alcatel Submarine Networks (ASN), a leading submarine networks business, to the French State, represented by the Agence des participations de l'Etat (APE), subject to informing and consulting with the relevant employee representatives at ASN and Nokia. Nokia will retain a 20% shareholding with board representation to ensure a smooth transition until targeted exit, at which point the French State would acquire Nokia's remaining interest.

 

By divesting ASN, a non-core standalone business for Nokia, Nokia can focus its Network Infrastructure portfolio on growth opportunities in its core markets and further improve profitability of the Network Infrastructure business group. The transaction demonstrates Nokia's active management of its business portfolio, one of the company's six strategic pillars.

 

Beginning with the second quarter, Nokia expects to account for ASN as a discontinued operation. Going forward, Nokia's Network Infrastructure Business Group will comprise three units: Fixed Networks, IP Networks and Optical Networks. This is expected to reduce the net sales of Network Infrastructure by approximately EUR 1 billion but will increase its operating profit margin by 100 –150 basis points. This does not impact Nokia's previously stated financial outlook disclosed in its Q1 2024 financial report on 18 April 2024.

 

ASN is a French and global submarine communication networks leader, uniquely positioned in turnkey systems. Under Nokia's ownership, ASN has significantly grown revenues, and is well positioned to continue benefiting from the growth of the large and attractive subsea cables market as the demand for, and importance of, subsea cables has increased.

 

The proposed sale of ASN to the French State is the result of extensive discussions which concluded that the French State is the most relevant custodian of ASN. The French State, as a stable owner with a long-term interest in the operation and maintenance of critical infrastructure, ensures continuity for ASN customers, employees, and partners.

 

Recognizing the importance of ASN's heritage, operations and relationships with its key stakeholders, the French State has made clear its full support for ASN's management and strategy, and has agreed to maintain investment in the ASN business and to support the further sustainable development of its vertically integrated technology offering.

 

As the French State's shareholdings agency, the APE has a large portfolio of holdings across multiple industrial sectors, services and businesses, and serves global clients. Under the APE's ownership of ASN, the French State will secure the future of a strong French and European player in a globally competitive market.

 

The sale is expected to close at the end of 2024 or beginning of 2025, subject to formal consultation of ASN's French Works Council and other customary closing conditions and regulatory approvals.

Espoo, Finland – Nokia and Claro today announced the successful completion of the first stage of Colombia's largest 5G deployment covering over 1,000 sites nationwide. The project, which was completed only four months after Colombian authorities issued 5G licenses, will provide state-of-the-art radio, core, and transport technologies delivering best-in-class coverage and connectivity. The deal will lay the foundations for future innovation across industries such as transport, mining, energy and oil and gas amongst others.

 

Under the contract, Nokia is supplying equipment from its comprehensive, energy efficient AirScale portfolio for both indoor and outdoor scenarios. This includes base stations, high-capacity Massive MIMO antennas and remote radio head (RRH) solutions. Nokia has also signed a further deal to deploy additional 400 5G sites. Nokia will also provide its MantaRay NM solution for seamless network management and MantaRay SON for automated operations as well as network optimization and technical support services.

 

The deal provides 5G coverage in six of Colombia's largest cities, with plans to further expand into 14 additional cities in 2024.

 

Nokia is providing a variety of software solutions, including its fully automated 5G Core for ultra-low latency performance that enables the delivery of advanced services and new revenue streams such as FWA; Nokia Assurance Center, which facilitates automated network decision-making by leveraging diverse data sets and operational intelligence, NetGuard Cybersecurity Dome and NetGuard Endpoint Detection and Response (EDR) a threat detection and incident suite delivered in a SaaS subscription model to improve efficiency and response times to new and existing cyber threats.

 

Nokia's IP Anyhaul solution will also provide scalable, seamless, and low latency mobile backhaul and fronthaul connectivity, based on FP5-based 7750 service routers and 7250 interconnect routers, with highly efficient operational automation provided by the Network Services Platform (NSP). In addition, Claro will deploy Nokia's flagship 1830 Photonic Service Switch (PSS) platform to provide high-speed, multiservice connectivity across its metro transport network to support traffic from Aggregation to Concentration layers. Claro's optical network will be managed by the WaveSuite optical automation software applications for end-to-end network management and resource control.

 

Nokia has been Claro's trusted partner for over 20 years covering 2G, 3G, 4G and now 5G. Nokia and Claro Colombia recently deployed an industrial-grade private 4.9G wireless network and edge computing solution at the port terminal of Sociedad Portuaria Puerto Bahía in Cartagena, Colombia.

Espoo, Finland – Nokia today announced that it is expanding its collaboration with Google Cloud to give developers around the world the network software tools they need to create innovative new 5G enterprise and consumer applications faster for their customers.

 

Now, Nokia's Network as Code platform with developer portal will run on Google Cloud, enriching the developer experience via Google Cloud data and generative AI solutions and capabilities, including Vertex AI and Gemini 1.5 Pro. This will enable developers to easily consume AI in their applications and improve productivity with coding assistance agents.

 

The companies will target industry use cases to promote with the Google Cloud developer community, starting with healthcare to deliver better, safer customer experiences.

 

Google Cloud's expansive developer community, covering all major industries and geographies, will benefit by having access to standardized 5G network capabilities around the world, exposed through Nokia's Network as Code platform with developer portal, giving them the technical tools required to quickly create new applications for their customers.

Nokia's platform brings together telco networks, systems integrators, and software developers from around the world into a unified ecosystem to accelerate the development of software applications that can harness 5G and 4G network capabilities.

 

It provides developers with software development kits (SDKs); network API documentation, a "sandbox" to create software code for use case simulation and testing; and code "snippets" that can be included in building new applications. The platform is based on a revenue share model between developers, operators, and Nokia.

 

Since its launch in September 2023, Nokia has signed collaboration agreements with 13 network operators and ecosystem partners in Europe, North America, and South America.

Nokia ilmoittaa muutoksista johtoryhmän kokoonpanossa

  • Nokia nimittää Lorna Gibbin henkilöstöjohtajaksi ja johtoryhmän jäseneksi.
  • Asiakaskokemusjohtaja Ricky Corker jättää yhtiön johtuen Nokian aiemmin ilmoittamista toimintamallin muutoksista.

Espoo – Nokia ilmoitti tänään nimittävänsä Lorna Gibbin henkilöstöjohtajaksi ja johtoryhmän jäseneksi tästä päivästä alkaen. Nokian asiakaskokemusjohtajana vuodesta 2021 toiminut Ricky Corker jättää yhtiön 28.6.2024.

Lorna Gibb aloitti Nokian palveluksessa vuonna 2020, ja hän on toiminut Nokian väliaikaisena henkilöstöjohtajana maaliskuusta 2024 lähtien. Tätä ennen hän toimi Nokian työlainsäädännön johtajana ja oli sekä henkilöstö- että lakiasiain toimintojen johtoryhmien jäsen. Lornalla on yli 20 vuoden kansainvälinen kokemus henkilöstöjohtamisesta eri toimialoilta. Ennen siirtymistään Nokiaan hän työskenteli Skyscannerin globaalina henkilöstöjohtajana ja EasyJetin Euroopan henkilöstöjohtajana keskittyen johtamaan näiden yritysten laajoja organisaatio- ja kulttuurimuutoksia. Lornan asemapaikka on Suomessa ja hän raportoi Nokian toimitusjohtaja Pekka Lundmarkille.

Nokia announces changes to its Group Leadership Team

  • Nokia appoints Lorna Gibb as Chief People Officer and member of the Group Leadership Team
  • Ricky Corker, Chief Customer Experience Officer, to leave the company due to recent operational model change


Espoo, Finland – Nokia today announced the appointment of Lorna Gibb as Chief People Officer and member of the Group Leadership Team, effective immediately. In addition, Ricky Corker, who has served as Nokia's Chief Customer Experience Officer since 2021, will step down and leave the company effective June 28, 2024.

Lorna Gibb joined Nokia in 2020 and has been Nokia's Interim Chief People Officer since March 2024. Prior to this role she served as Vice President, Labor and Employment, being a member of Nokia's People and Legal & Compliance Leadership Teams. Lorna has over 20 years of experience working in people leadership roles for large scale global businesses in various industries and geographies. Before joining Nokia, she held roles as Global People Director for Skyscanner and People Partner/Director for EasyJet, where she spearheaded cross border organizational and cultural transformation. Lorna will be based in Finland and reports to Nokia's President and Chief Executive Officer, Pekka Lundmark.

Ricky's departure follows Nokia's decision to empower its business groups with increased operational autonomy and move into a streamlined operating model, where the Customer Experience organization has been embedded into the business groups from the start of 2024. This change will enable the business groups to better seize growth opportunities with existing and new customers, and diversify faster into enterprise, webscale and government sectors.

"Ricky has been a valued member of Nokia's leadership team and the Nokia community. He has been with Nokia for over 30 years and held several management positions within the company. I want to thank Ricky for all his contributions to Nokia, not least for helping to drive Nokia's transformation and building trust with our customers throughout the years.
