Nokia and Telefónica Germany agree 5-year RAN deal to advance 5G expansion 

 

  • Nokia to modernize Telefónica Germany's radio access network and deploy advanced Cloud RAN solutions, driving 5G expansion and sustainable digitalization across Germany.

Espoo, Finland – Nokia today announced a new 5-year contract extension with its strategic partner, Telefónica Germany (Telefónica) to modernize and upgrade its nationwide radio access network until 2030. The agreement includes Nokia's advanced Cloud RAN solutions and supports Telefónica's ambitions for rapid 5G expansion and sustainable digitalization across Germany, and delivering premium customer experiences. Nokia's AI-powered solutions will also support Telefónica's move to transform its operations and network performance using AI.

 

Under the agreement, Nokia will supply its energy-efficient and AI-ready AirScale Radio Access Network (RAN) portfolio, including Habrok Massive MIMO radios for the n78 spectrum band, Pandion multi-band remote radio heads, and AirScale Radio small cell solutions. These technologies will ensure comprehensive coverage and seamless indoor connectivity while driving efficiency and scalability. Additionally, Nokia will provide its latest baseband solutions to enhance Telefónica's 5G network performance and reliability.

 

The deployment will also feature Nokia's Interleaved Passive Active Antenna (IPAA+) solution to simplify site design and accelerate 5G rollout. The contract includes maintenance and network optimization services.

 

Telefónica will continue to use Nokia's AI-powered network management solution, MantaRay NM, which supports purpose-built RAN and Cloud RAN, including data center hardware and cloud infrastructure. It provides comprehensive operation and maintenance capabilities for network elements in core, radio, and transport networks, both for managing physical network elements as well as virtualized network functions. This is the first step towards an ambition shared by both companies to evolve Telefónica's network to automation level 4 through AI-powered orchestration solutions

Ottawa, Canada – Today marks a bold new era for Canadian innovation as Nokia breaks ground on its next-generation Ottawa campus, reinforcing Canada's position as a global leader in connectivity. Building on more than five decades of pioneering innovation in the Ottawa region, Nokia is reaffirming its leadership in the nation's communications technology evolution. The new campus will play a pivotal role by driving breakthroughs in AI-powered networks, data center networks, quantum-safe infrastructure, and next-generation 6G technologies, while cultivating strategic industry partnerships and developing the next generation of innovators.

 

Nokia's Ottawa campus will be more than an R&D hub; it will serve as a launchpad for the future of Canadian innovation, accelerating advances in AI, quantum technologies, and sustainable digital transformation. Nokia julkistaa osakkeidensa poistamisen Pariisin pörssistä

 

Espoo — Nokia Oyj ("Nokia") tiedotti 4.11.2025, että sen hallitus on päättänyt hakea Nokian osakkeiden (ISIN: FI0009000681) poistamista Euronext Paris -säännellyltä markkinalta ("Euronext Pariisi"). Euronext Pariisin hallitus on hyväksynyt hakemuksen ja osakkeiden odotetaan poistuvan Euronext Pariisin pörssilistalta 31. joulukuuta 2025.

 

Nokian osakkeet listattiin Euronext Pariisiin huhtikuussa 2015 Alcatel-Lucentin hankinnan yhteydessä, sillä osakkeenomistajille haluttiin taata kaupankäynnin jatkuvuus Ranskassa. Päätös osakkeiden poistamisesta listalta perustuu kaupankäyntivolyymeihin, kustannuksiin ja hallinnollisiin vaatimuksiin, jotka liittyvät osakkeiden listaukseen Euronext Pariisissa.

 

Euronext Pariisin hallitus on hyväksynyt osakkeiden poistamisen Euronext Pariisin pörssilistalta. Osakkeiden poistaminen listalta ei vaikuta Nokian päivittäiseen toimintaan Ranskassa, eikä Nokian osakkeiden listaukseen Nasdaq Helsingissä tai New Yorkin pörssissä, missä Nokian osakkeilla käydään kauppaa American Depositary Shares -osaketalletustodistusten muodossa.

 

Osakkeenomistajat voivat halutessaan myydä Euronext Pariisissa listatut ja Euroclear Francen kautta omistetut Nokian osakkeet ("Nokia Euronext -osakkeet") vapaaehtoisen myyntijärjestelyn kautta, joka toteutetaan Euronext Pariisin sääntöjen mukaisesti ("Myyntijärjestely").

 

Nokia Euronext -osakkeiden haltijoilla on seuraavat vaihtoehdot:

  • Jättää osallistumatta Myyntijärjestelyyn ja pitää kaikki omistamansa Nokia Euronext -osakkeet. Nokia Euronext -osakkeilla voi käydä kauppaa Euronext Pariisissa osakkeiden listalta poistamiseen asti. Sen jälkeen niillä voi käydä kauppaa Nasdaq Helsingissä Euroclear Finlandin kautta osakkeenomistajan käyttämän sijoituspalveluntarjoajan ja tämän säilytysjärjestelyjen niin salliessa; tai
  • Osallistua Myyntijärjestelyyn (kuvattu alla) myydäkseen Nokia Euronext -osakkeensa tai osan niistä Euronext Pariisin sääntöjen ja määräysten mukaisesti.

Nokia Euronext -osakkeiden haltijat voivat käydä kauppaa Euronext Pariisissa 30. joulukuuta 2025 asti, mikä on viimeinen kaupankäyntipäivä ennen osakkeiden poistamista pörssilistalta.

 

Myyntijärjestely

Niiden osakkeenomistajien, jotka haluavat myydä kaikki tai osan Nokia Euronext -osakkeistaan Myyntijärjestelyn kautta, on pyydettävä sijoituspalveluntarjoajaansa toimittamaan Nokia Euronext -osakkeensa Société Généralelle 2.–15.12.2025 välisenä aikana (mukaan luettuna nämä päivämäärät).

 

Société Généralelle toimitetut Nokia Euronext -osakkeet myydään Nasdaq Helsingissä 2.1.2026 alkaen myyntihetkellä vallitsevaan markkinahintaan. Nokia ei ole osapuolena Myyntijärjestelyyn toimitettujen Nokia Euronext -osakkeiden myynnissä, ja Société Générale toteuttaa järjestelyn itsenäisesti ilman Nokian osallistumista.

 

Société Générale laskee Myyntijärjestelyssä myytyjen Nokia Euronext -osakkeiden keskimääräisen myyntihinnan ja tilittää myyntituotot Myyntijärjestelyyn osallistuville osakkeenomistajille sen jälkeen, kun myynnistä saadut varat on vastaanotettu kokonaisuudessaan.

 

Nokia maksaa keskittämis- ja välityspalkkiot, jotka liittyvät Société Généralelle osana Myyntijärjestelyä toimitettujen Nokia Euronext -osakkeiden myyntiin.

 

Kuvaus Myyntijärjestelystä sisältyy myös Euronextin tiedotteeseen, joka julkaistaan 27.11.2025.

 

Nokia tai Société Générale eivät voi taata vapaaehtoisen Myyntijärjestelyn kautta myytyjen Nokia Euronext -osakkeiden lopullista myyntihintaa. Myyntijärjestely on palvelu, jonka avulla Nokia Euronext -osakkeiden haltija voi myydä osakkeitaan niin halutessaan.

 

Nokia Euronext -osakkeiden haltijat voivat päättää olla osallistumatta Myyntijärjestelyyn tai olla ryhtymättä mihinkään toimenpiteisiin, jolloin ei ole takeita ehdoista, joita heidän sijoituspalveluntarjoajansa soveltavat sen jälkeen, kun osakkeet on poistettu Euronext Pariisin pörssilistalta. Osakkeenomistajia kannustetaan ottamaan yhteyttä omiin talous-, vero- ja lainopillisiin neuvonantajiinsa ennen prosessiin osallistumista koskevan päätöksen tekemistä.

Nokia announces delisting from Paris Stock Exchange

 

Espoo, Finland — Following its announcement on 4 November 2025 regarding the resolution by the Board of Directors of Nokia Corporation ("Nokia") to submit an application for the delisting of its shares (ISIN: FI0009000681) from the regulated market of Euronext Paris (the "Paris Delisting"), Nokia announces today that the Paris Delisting has been approved by the Board of Euronext Paris. It is currently anticipated that the Paris Delisting will take effect on 31 December 2025.

 

In April 2015, Nokia shares were listed on Euronext Paris in conjunction with the acquisition of Alcatel-Lucent to ensure trading continuity for shareholders in France. The decision to delist was made following a review of the trading volumes, costs and administrative requirements related to Nokia's listing on Euronext Paris.

 

The Paris Delisting has been approved by the Board of Euronext Paris and will not have any impact on Nokia's day-to-day operations in France, nor on Nokia's listings on the official list of Nasdaq Helsinki or on the New York Stock Exchange, where the Nokia shares trade in the form of American Depositary Receipts.

 

A voluntary sales facility (the "Sales Facility") will be put in place in accordance with Euronext Paris' rules to allow shareholders to sell their Nokia shares listed on Euronext Paris and held through the facilities of Euroclear France (the "Nokia Euronext Shares").

 

The holders of Nokia Euronext Shares will have the following options:

  • Not to participate in the voluntary Sales Facility and keep all of their Nokia Euronext Shares, which they will be able to trade on Euronext Paris until the delisting date (exclusive) and on Nasdaq Helsinki thereafter through the facilities of Euroclear Finland, subject to the terms applied by their financial intermediary and their custody arrangements; or
  • To participate in the voluntary Sales Facility (described below) to sell all or part of their Nokia Euronext Shares, in accordance with the rules and regulations of Euronext Paris.

For the avoidance of doubt, holders of Nokia Euronext Shares will be able to trade on Euronext Paris until 30 December 2025 (the last trading date prior to the Paris Delisting).

 

Procedure for the Voluntary Sales Facility

Shareholders who wish to sell all or part of their Nokia Euronext Shares through the voluntary Sales Facility should request that their financial intermediaries deliver their Nokia Euronext Shares to Société Générale, acting as the centralizing agent, from 2 December 2025 to 15 December 2025 (inclusive).

 

Nokia Euronext Shares delivered to Société Générale will be sold on Nasdaq Helsinki as of 2 January 2026 at the market price prevailing at the time of sale. For the avoidance of doubt, Nokia will not be a party to the sale of the Nokia Euronext Shares tendered in the Sales Facility, such facility being operated independently by Société Générale without Nokia's involvement.

 

Société Générale will calculate the average sale price of the Nokia Euronext Shares sold through the Sales Facility during the sales period and transfer the proceeds of the sale to the participating shareholders once the corresponding funds are fully received.

 

Nokia will pay the fees for the centralization and the brokerage fees related to the sale of Nokia Euronext Shares delivered to Société Générale as part of the voluntary Sales Facility.

 

This voluntary Sales Facility procedure is also described in a Euronext notice to be published on 27 November 2025.

 

Please note that no guarantee can be given by Nokia or by Société Générale as to the price at which the Nokia Euronext Shares tendered pursuant to the voluntary Sales Facility will actually be sold. This process is being provided solely as an accommodation to holders of Nokia Euronext Shares.

 

Holders of Nokia Euronext Shares may decide not to participate in the voluntary Sales Facility or may decide not to take any action, in which case no guarantee can be given to them on the terms that will be applied by their financial intermediary after the Paris Delisting. Shareholders are invited to consult their own financial, tax, and legal advisors before making a decision whether to participate in this process or not.

 

The indicative calendar of the voluntary Sales Facility and the Paris Delisting is summarized in the table below (it being specified that Nokia reserves the right to amend this calendar):

Shareholders participating in the voluntary Sales Facility are reminded that they acknowledge and accept the risks related to the change in the share market price between the date on which their Nokia Euronext Shares are delivered to Société Générale for participation in the voluntary Sales Facility and the receipt of funds after the determination of the applicable average sale price. All tenders of Nokia Euronext Shares under the Sales Facility will be irrevocable.

 

Shareholders are invited to contact their financial intermediaries for further information regarding the procedures for participating in the Sales Facility.

Espoo, Finland – Nokia today announced its collaboration with Japan's NTT DOCOMO, INC. ("DOCOMO") to deploy its autonomous MantaRay SON Self-Organizing Networks solution in DOCOMO's multi-vendor LTE and 5G radio access network (RAN). This marks the first implementation in Japan of Nokia's 5G base station combined with DOCOMO's operation systems, enabling advanced automation and operational efficiency for 5G operations. The deployment is underway and is expected to improve operational efficiency and enhance the experience for DOCOMO's customers.

 

Nokia's MantaRay SON solution is designed to address the increasing complexity of 5G networks, which involve thousands of base stations and millions of cells. By automating routine operations, MantaRay SON improves network quality, efficiency, and customer experience while significantly reducing operational costs.

 

The integration of MantaRay SON into DOCOMO's network allows for seamless automation of planning, provisioning, and verification processes. It also enables closed-loop operations, where configuration changes in 5G systems are detected and executed automatically without human intervention. This innovation enhances the alignment between different operational systems, ensuring timely quality improvements and better network performance. Dallas, Texas – Nokia, in collaboration with the Trump administration, announced today plans to expand its U.S. R&D and manufacturing capabilities, investing $4 billion to accelerate innovation in AI-ready mobile, fixed access, IP, optical, and data center networking technologies. The planned investment over multiple years is in addition to Nokia's $2.3 billion investment in U.S. manufacturing, R&D, and AI connectivity through its purchase of Infinera. Additionally, Infinera had previously announced a $456 million investment for two U.S. manufacturing facilities, which received CHIPS Act incentives.

 

Nokia expects to invest around $3.5 billion in U.S. R&D, reflecting the company's strong commitment to advancing the next generation of connectivity and AI technology across all facets of the network, including mobile, fixed, IP, optical, data center networking technologies, and mission-critical/defense solutions. Nokia is committed to continuing the creation of groundbreaking technologies in the U.S., following in the footsteps of its award-winning Nokia Bell Labs headquartered in New Jersey. For over a century, the scientists and engineers at Nokia Bell Labs have pioneered technological innovations from the invention of the transistor to advancements in digital communications and now AI.

 

About $500 million in U.S. capital expenditures will be invested in manufacturing and research and development in U.S. states that include Texas, New Jersey, and Pennsylvania.

 

The U.S. investment plan will strengthen Nokia's comprehensive suite of AI-optimized networking solutions, as well as its industry-leading R&D in advanced networking technologies, including automation, quantum-safe networks, semiconductor manufacturing, testing, and packaging, and state-of-the-art material sciences.
