Muutokset Nokia Oyj:n omien osakkeiden omistuksessa


 

Espoo – Nokia on tänään luovuttanut yhteensä 127 434 986 Nokia Oyj:n hallussa ollutta Nokian osaketta (NOKIA) Citibank, N.A.:lle, Nokian American Depositary Share -järjestelyn säilyttäjäpankille, jotta Citibank, N.A. vaihtoagentin (eng. Exchange Agent) ominaisuudessa toimittaisi ne American Depositary Shares -osaketalletustodistusten muodossa sellaisille Infinera Corporationin ("Infinera") osakkeenomistajille, jotka ovat pätevästi valinneet joko osakevastikkeen tai käteis- ja osakevastikkeen yhdistelmän Nokian Infineran hankinnan toteuttamisen yhteydessä. Kuten Nokia on aiemmin tiedottanut, Nokia on solminut sulautumissopimuksen ja -suunnitelman ("Sulautumissopimus") Neptune of America Corporationin ja Infineran kanssa 27.6.2024. 


Suunnattu osakeanti perustuu hallituksen 22.11.2024 tekemään päätökseen. Nokian osakkeen (NOKIA) merkintähinta on Nokian osakkeen (NOKIA) päätöskurssi Nasdaq Helsingissä sulautumisen toteutumispäivänä 28.2.2025. 


Nokia Oyj:n hallussa olevien omien osakkeiden lukumäärä luovutuksen jälkeen on 133 882 828.


Loput sulautumisvastikkeesta maksetaan Infineran osakkeenomistajille rahana. Nokia on tänään julkistanut erillisen Infineran hankinnan toteuttamista koskevan lehdistötiedotteen.

Espoo, Finland — Nokia announced today the closing of the acquisition of Infinera Corporation. The San Jose based company has become part of Nokia effective as of the closing.


 

The acquisition brings together two innovation leaders with a history of industry firsts. In doing so, it creates an optical networks powerhouse with the scale to accelerate product roadmaps, further expanding Nokia's ability to help network operators – whether service providers, webscalers or enterprises – unlock the opportunities and meet the network and power demands of the AI era.


 

"I am delighted we have been able to quickly and successfully complete the acquisition of Infinera. This transaction will significantly improve our scale and profitability in optical networks, and allows us to speed up the pace of innovation to meet the requirements of the AI era. The Infinera acquisition will accelerate our growth strategy in data centers and strengthen our presence both in North America and with webscale customers," remarked Pekka Lundmark, President and CEO of Nokia.

The Infinera team will join Nokia's Optical Networks business – headed by its Vice President and General Manager, James Watt. Meanwhile Infinera CEO, David Heard will join Nokia's Network Infrastructure business group as NI Chief Strategic Growth Officer. In this position he will help to set and oversee the implementation of the business group's growth plans, including specific customer segment strategies, product and market mix, and go-to-market approach across the business group.

Meeting the challenges of the AI era

EUR 200 million synergy target reconfirmed

On 28 June 2024, Nokia and Infinera announced the companies had signed a definitive agreement under which Nokia would acquire Infinera for US$6.65 per share with shareholders able to elect cash, Nokia shares or a combination of both with a proration mechanism limiting the Nokia share issuance to approximately 30% of the aggregate consideration paid to Infinera shareholders. All Nokia shares will be issued to Infinera shareholders in the form of American Depositary Shares.


 

Nokia announced at the time and reconfirms today that it expects the transaction to be accretive to Nokia comparable operating profit and EPS in 2025 and Nokia continues to target over EUR 200 million of net comparable operating profit synergies from the deal by 2027 with the synergies ramping gradually over the three-year period. The transaction is expected to deliver over 10% comparable EPS accretion in 2027.

Changes in Nokia Corporation's own shares


 

Espoo, Finland – A total of 127,434,986 Nokia shares (NOKIA) held by Nokia Corporation were transferred today to Citibank, N.A., the depositary bank for Nokia's American Depositary Share facility, for the distribution by Citibank, N.A., in its capacity as Exchange Agent, to such shareholders of Infinera Corporation ("Infinera") who have validly elected either share consideration or mixed consideration in connection with the completion of Nokia's acquisition of Infinera, in the form of American Depositary Shares. As previously announced by Nokia, Nokia entered into the Agreement and Plan of Merger on 27 June 2024 among Neptune of America Corporation and Infinera (the "Merger Agreement"). 


The directed issuance of shares is based on the resolution of the Board of Directors on 22 November 2024. The subscription price for the Nokia share (NOKIA) is the closing price of Nokia's share (NOKIA) on Nasdaq Helsinki on the date of closing of the merger, on 28 February 2025. 

 

The number of own shares held by Nokia Corporation following the transfer is 133,882,828. 


The rest of the merger consideration will be paid to the shareholders of Infinera in cash. Nokia has today published a separate press release regarding the completion of the Infinera acquisition.

Espoo, Finland – Nokia today announced a significant upgrade to the data center infrastructure of Maxis, Malaysia's leading integrated telecommunications provider, aimed at enhancing connectivity and scalability with Nokia's data center switches and Event-Driven Automation (EDA) platform. The deployment will support Maxis's business growth by providing a scalable, secure, and efficient data center architecture.


 

The modernization of Maxis' data center connectivity technology will help the company simplify network operations, solve issues faster and automate workloads, all on a robust and secure infrastructure.


 

Nokia will deploy its cutting-edge 7220 Interconnect Router (IXR) data center switches and EDA technology across multiple Maxis data centers. This upgrade will enable Maxis to provision infrastructure resources without delay, reduce complexity and ensure secure applications running in the network can scale gracefully.

Espoo, Finland – Nokia today announced new Agentic AI capabilities within its autonomous networks portfolio that will help Communication Service Providers (CSPs) better automate, secure, and monetize their networks. Extending the AI capabilities already embedded in Nokia's autonomous networks portfolio, the latest Agentic AI enhancements enable CSPs to more easily detect security threats, accelerate new service creation, and improve the management of their networks.


 

"CSPs around the world are actively pursuing higher levels of network autonomy to achieve increased operational efficiency and offer their customers personalized experiences. AI is the catalyst to unlock L4/L5 autonomy, manage complexity, and orchestrate actions across network domains and operational functions," said Kal De, SVP Product and Engineering, Cloud and Network Services at Nokia.

  • New AI innovations in security: Nokia is using a telco trained LLM and Agentic AI to proactively detect security threats and rapidly retrieve insights. With its AI-driven approach, Nokia enables CSPs to reduce manual work and significantly improve their security posture by reducing the dwell time between threats occurring and being removed from the network from days to minutes. The new AI-powered Threat Hunt Assistant, part of NetGuard Cybersecurity Dome, leverages telco threat intelligence, network telemetry, and AI to detect attacks and guide security analysts on remediation steps. In addition, enhancements to NetGuard Endpoint Detection and Response, including a signature validation capability that ensures the integrity and authenticity of container images, prevent the deployment of untrusted or tampered software in telco cloud environments.
  • New AI innovations in analytics: Nokia has augmented its subscriber experience analytics for fixed and mobile networks with Generative AI enabling CSP engineers to interact through natural language to easily retrieve insights and generate reports without requiring specialized technical skills (e.g., knowledge of SQL coding). The new self-service AI studio, part of Nokia's Data Suite, provides an MLOps and LLMOps framework, including pre-packaged AI models for CSPs to build their own AI and GenAI use cases. Together with the AI studio, Data Suite's curated data products help CSPs to reduce the time it takes to create new AI use cases from six months to four weeks.
  • New AI innovations in digital operations: Nokia's Digital Operations Center leverages Agentic AI to automate tasks and troubleshoot issues in service orchestration, fulfilment, and assurance. For example, an AI agent can be used to speed up the creation and cataloguing of a new service – or to help an engineer investigate and resolve an order that has failed during the provisioning process. Additionally, Nokia Bell Labs AI models are incorporated for advanced anomaly detection and prediction of network faults.

Deutsche Telekom's T Wholesale and Nokia energize network API market with commercial deal to drive and simplify developer-created applications #MWC 2025

  • Two Deutsche Telekom network API use cases, SIM Swap and Number Verification that are key security and authentication solutions for industries such as financial services and retail, will be made available to developers through Nokia's Network as Code platform with developer portal.
    • The two APIs will target Germany initially, with other European markets planned for later in the year. Additional Deutsche Telekom APIs, like Location Verification and Quality on Demand, are also expected to be made available on the Network as Code platform in the months ahead.

Espoo, Finland — T Wholesale, which is part of Deutsche Telekom, one of Europe's largest operators with more than 250 million subscribers, and Nokia have signed a commercial deal that will make two of the operator's network API use cases, SIM Swap and Number Verification, available to developers through Nokia's Network as Code platform with developer portal. The deal marks an important step for operators as they accelerate plans to monetize their network assets and core capabilities by exposing their network functions to developers.

In reaching this milestone, Nokia's technology and approach give us the confidence that we can fully provide developers with the tools they require to successfully utilize our APIs to better service their own customers with innovative solutions," said Carsten Bruns, Vice President of Internet & Content Services at T Wholesale.


 

SIM Swap and Number Verification are key security and authentication solutions for industries such as financial services and retail, using telecom network capabilities to mitigate fraud and enhance user verification. A SIM Swap API works by detecting if a SIM card associated with a phone number was recently changed, which could trigger additional security verification checks. Number Verification can confirm whether a user has control over a phone number and if a commercial transaction request has come from the same device as the owner.

Nokia's Network as Code platform provides developers with standardized access to network functions, without having to navigate any of the underlying network technologies. Nokia's network API strategy is centered around connecting multiple API ecosystems through its Network as Code platform by offering operators the broadest range of network exposure options, paired with robust multi-tier API security and simplified access to network functionalities.


 

Nokia further strengthened its capabilities recently with its acquisition of Rapid, the world's largest public API hub that enables operators to seamlessly integrate their networks, actively control API usage and exposure, and enhance API lifecycle management.


 

Since launching the Network as Code platform in September 2023, Nokia's ecosystem of Network as Code platform partners has grown to 51 currently and includes BT, Orange, StarHub, Telefonica, and Telecom Argentina. Nokia's commitment to API monetization extends beyond network-side aggregation and includes hyperscalers like Google Cloud; Communications Platform as a Service (CPaaS) platform providers such as Infobip; vertical independent software vendors like Elmo; and the world's largest public API hub through Nokia's acquisition of Rapid.

Espoo, Finland – Nokia today announced MX Context, a new solution that leverages sensor fusion technology to deliver AI-powered contextual awareness for industrial enterprises. Integrated into the Nokia Edge Compute and AI platform for industrial sites, MX Context processes large amounts of data from different sources, providing real-time actionable insights and intelligent automation to enable operational excellence and enhance decision-making.
MX Context is the only solution on the market that provides situational and contextual awareness.

According to MarketsandMarkets, the global sensor fusion market is projected to grow at a compound annual growth rate (CAGR) of 17.8%, reaching USD $18 billion by 2028.1 This underscores the growing demand among organizations for solutions that unify data and provide rich insights to enhance efficiency, safety, and automation.

Operational Technology (OT) environments generate huge quantities of data from machine sensors, positioning systems, and worker-worn devices. Connecting these assets using private wireless provides industries with real-time data and operational insights. However, the increasing complexity of modern OT environments often creates data silos, which limits enterprises' contextual awareness. It utilizes Nokia's on-premise edge industrial compute solutions, MXIE and MX Grid, for processing, as well as the MXIE Data Lake to store structured and unstructured data for historical analysis, and application data access via APIs.

MX Context also offers low-code visual development capabilities, enabling users to quickly create logical workflows and design dashboards with minimal coding expertise. It seamlessly integrates with Nokia MX Workmate, a powerful gen-AI assistant that enables natural language-based interactions with connected workers.


 

MX Context suites are modular and built to create use case-based contextual awareness solutions. The first two MX Context suites and associated user applications are tracking and positioning and worker safety.


 

Tracking and positioning: MX Context is the first industry solution that can ingest and fuse data from various tracking and positioning technologies, like Bluetooth Angle-of-Arrival (i.e., Nokia HAIP), video-based positioning (i.e., Nokia VPOD), worker devices' GPS, and other MXIE third-party tracking technologies such as HERE HD GNSS and Nordic ID. It provides more accurate and reliable positioning and ensures tracking continuity across mixed industrial environments to optimize asset utilization, inventory management, processes, and material flow.


 

Worker safety: MX Context ingests and fuses different types of data from Nokia sensory solutions like Nokia VPOD, device sensors (i.e., gyroscopes, accelerometers, and microphones), and third-party applications. AI-based processing and fusion of real-time data provides, for the first time, situational awareness and contextual information, enabling the detection of potential accidents or incidents and facilitating the best response, such as triggering an alert, notifying emergency services, or providing real-time guidance to the worker.


 

As part of the MX Context sensory solutions that can leverage internal sensors in industrial workers' handhelds, Nokia will be complementing its portfolio of industrial routers with new variants that boast multi-sensory capabilities (accelerometers, gyroscopes, voltmeters, environmental sensors, etc.). These routers can enhance machine insights and will also utilize advanced GNSS chips for more accurate outdoor positioning.

Montréal, Canada and Espoo, Finland – Bell Canada and Nokia today announced a significant expansion of their 5G network infrastructure partnership, marking a major step forward in deploying Cloud RAN and paving the way for future Open RAN advancements.

Bell's deployment of Cloud RAN infrastructure is a strategic stepping stone toward Bell's broader Open RAN vision. Nokia's anyRAN approach offers Bell flexible RAN evolution options – purpose-built, hybrid, or Cloud RAN solutions – enabling network monetization, interoperability, vendor diversity, and reduced vendor lock-in.

Nokia's cutting-edge Cloud RAN solution, coupled with Bell's forward-thinking Open RAN vision, promises unparalleled network agility, scalability, and efficiency, ultimately delivering an exceptional customer experience and positioning Bell at the forefront of the 5G evolution.

Key features of the expanded partnership
This multi-year contract extension will see Bell deploy Nokia's commercial Cloud RAN solution, built on a foundation of Red Hat OpenShift and supported by Dell Technologies infrastructure. Nokia will supply equipment from its industry-leading, energy-efficient 5G AirScale portfolio to support Bell's Cloud RAN deployments, ensuring feature and performance consistency throughout the network evolution.

This collaboration leverages the power of Cloud RAN to deliver immediate benefits to Bell's network. The cloud-native architecture, powered by Red Hat OpenShift, provides enhanced scalability and agility, enabling Bell to rapidly adapt its network to meet fluctuating customer demands and swiftly introduce new services. This agility is further enhanced by the deployment of Dell PowerEdge servers at cell sites and data centres, providing the processing power and reliability needed for demanding 5G workloads.

Nokia's contribution includes its Cloud RAN software and Open fronthaul hardware capable radios. Nokia will also supply its AI-powered radio network management solution, MantaRay NM, which supports all radio and mobile core technologies, optimizing network performance and efficiency.
