Espoo, Finland – Nokia has been selected by
Cloudbear, a growing hosting services provider in the Netherlands, to implement its state-of-the-art data center networking infrastructure. This complete data center deployment is implemented on the Kuberbetes-based CBWS hosting environment. Nokia's deployment includes an ultra-reliable data center fabric switching, and data center gateway routers that provider IP data center interconnection, and IP peering. With this implementation, Cloudbear will further enhance its ability to provide customized hosting services to meet very specific customer requirements with maximum efficiency. In addition, Cloudbear's ability to deliver fast, reliable, and secure hosting services to its customers across Europe is augmented.

 

As part of the partnership, Cloudbear has benefited from having access to Nokia's community. For instance, the SR Linux Discord channel has provided them with quick access to questions about Cloudbear's implementation. The Dutch provider has also used Nokia's open source project Containerlab for its CI/CD pipeline implementation.

Nokia Foundation awards CSC Managing Director Dr. Kimmo Koski for his significant role in enabling the European LUMI supercomputer ecosystem


 


 

  • The awardee, Dr. Kimmo Koski, Managing Director of CSC – IT Center for Science played a key personal role to pursue the LUMI supercomputer and building a European consortium of 11 countries behind, securing national funding, and obtaining European Commission funding through EuroHPC for this groundbreaking computing project. Hosted at CSC´s data center in Finland, LUMI is currently among the most powerful supercomputers globally and serves as a significant infrastructure for European scientific research, development, and innovation.
  • One of the key factors for the success of the LUMI initiative is the sustainability of its design. This is exemplified by utilizing the center's excess heat for the city of Kajaani.
  • Inaugurated in 2022, the LUMI supercomputer has drawn a growing number of ICT and other companies to establish their operations in the Renforsin Ranta, a former paper mill site. As a result, the number of people employed in this environment exceeds the workforce levels from the area's industrial days.

Espoo, Finland – November 27, 2024Nokia Foundation has granted its 2024 recognition award to Dr. Kimmo Koski, Managing Director of CSC for his pivotal role in enabling the creation of LUMI supercomputer and Kajaani data center ecosystems. Scientific research is becoming increasingly data-driven, and almost all scientific disciplines use computational methods to analyze large datasets. This shift is also evident in private companies' research, development, and innovation activities. For example, artificial intelligence relies fundamentally on computational power. In this context, high performance computing and data ecosystems play a crucial role. LUMI supercomputer enhances the international reach of Finnish and European science, accelerating both innovation and competitiveness.


 

Hannu Kauppinen, Chairman of the Board of Nokia Foundation, said: "Dr. Kimmo Koski has over the years worked systematically and made foundational contributions to fostering the Finnish supercomputing environment and expanding its international connections and importance across Europe and beyond. Lately, this has culminated driving a European consortium for LUMI supercomputer in Finland. This has boosted the Finnish data center ecosystem and brought remarkable positive visibility to Finland both in industrial and in academic circles. This has been made evident in the significant increase in foreign investments in the Finnish data center facilities and companies engaged in High Performance Computing. The current boom of AI has further increased the demand for supercomputing, where LUMI already offers a powerful, ready-made solution."


 

Dr. Kimmo Koski said: "I am truly honored by this recognition and see it as an acknowledgement of our long-standing work and commitment. Espoo, Finland – Nokia today announced that it has been awarded more than 3,000 sites by Deutsche Telekom AG (DT) to support the operator's multi-vendor Open RAN network scale-up in Germany. The deal, which includes Fujitsu, covers a mass rollout of O-RAN-compliant technology with commercial deployment already underway in the Neubrandenburg area of Northern Germany. The new deal formally marks Nokia's return as a supplier to Europe's largest network and will see Nokia replace the incumbent vendor in the area covered in the agreement.


 

Under the deal, Nokia will supply equipment from its O-RAN-compliant 5G AirScale portfolio powered by its energy-efficient ReefShark System-on-Chip technology, including modular, high-capacity baseband solutions and high-performance Habrok Massive MIMO radios for premium coverage and capacity. Nokia's industry-leading solutions ensure performance consistency, resiliency, and security for Open RAN. Nokia's solutions integrate with DT's multi-supplier Open RAN environment where Fujitsu will supply its O-RAN-compliant mid-band remote radio head products. The deal will also see Nokia support DT with network modernization alongside existing suppliers.


 

Nokia will also deploy its intelligent AI-powered MantaRay NM solution for improved network monitoring and management and will provide AI-based services, including digital deployment, optimization, and technical support.


 

Abdu Mudesir, Group CTO and Managing Director of Technology Germany at Deutsche Telekom commented: "This deal is further evidence of our significant commitment to multi-vendor Open RAN and ensuring we have greater supplier choice for radio access networks. The network performance in the already implemented area is delivering the best customer experience. And now together with Nokia, we look forward to scaling up Open RAN in Germany."

Espoo, Finland — Nokia today announced that analysts at ABI Research have ranked the company as the overall leader and top innovator in a competitive study on telco API platforms for internal exposure within network and partner ecosystems. The report can be viewed here.

ABI Research said Nokia's deep network API portfolio, including its Network as Code with developer portal, offers more integration points across the telco stack than any other vendor, enabling operators to maximize customizability, while adhering to industry standards.

"ABI Research assessed Nokia as the leading vendor due to the comprehensive scope of its solutions and its success in enabling operator network API flexibility and configurability, while adhering to industry standards," the report says. "Nokia's success in creating a cohesive network API portfolio that directly addresses operator needs for configurability and standardization, and internal exposure and external exposure earned it the position of Top Innovator."

The report goes on to state that "it is noteworthy that Nokia follows a policy of impartiality across public cloud providers, giving operators freedom to select their preferred hyperscaler partner."

The report comes soon after Nokia strengthened its network API product development and go-to-market efforts by acquiring Rapid's technology assets, including the world's largest API hub used by thousands of active developers globally, and its highly skilled research and development unit.

Nokia is leading and expanding the network API ecosystem to monetize 5G and 4G networks, following a strategy based on having the best API management system in the market and enabling multiple API ecosystems through its Network as Code platform.

Since launching the platform in September 2023, Nokia has gained significant momentum with 27 partners globally, including BT, DISH, Google Cloud, Infobip, Orange, Telefonica, and Telecom Argentina. Nokia's partnering expands well beyond the operator base to include hyperscalers like Google Cloud, CPaaS platform providers like Infobip, large system integrators, and vertical ISVs.

Dubai, United Arab Emirates – Nokia today announced that it has successfully completed a network slicing trial with du, the leading telecom and digital services provider. This trial is the UAE's first live transport slicing deployment which will allow the service provider to operate a variety of network services that cater to different needs while remaining within the existing network infrastructure.


 

Network slicing allows operators to flexibly allocate resources for optimal performance and quality within each slice. By leveraging Nokia's cutting-edge slicing technology with the Network Service Platform (NSP), du will deliver a wide range of services such as ultra-reliable low-latency communications for gaming and video streaming to massive machine-type communications that can be used for IoT devices. Ultimately, this approach will lead to improved network utilization and energy savings in the long run.


 

Moreover, the network slicing will offer enhanced security and privacy, service innovation, improved quality of service, and efficient resource utilization, all of which will contribute towards better monetization opportunities and an edge over the other market players.

Nokia käynnistää omien osakkeiden takaisinosto-ohjelman kompensoidakseen Infinera-hankinnan aiheuttamaa laimennusvaikutusta


 

Espoo – 27.6.2024 ilmoitetun mukaisesti Nokia Oyj ("Nokia" tai "Yhtiö") on tänään päättänyt käynnistää omien osakkeiden takaisinosto-ohjelman kompensoidakseen laimennusvaikutusta, joka syntyy uusien osakkeiden antamisesta Infinera Corporationin osakkeenomistajille ja Infineran nykyisistä osakepohjaisista kannustimista. Päivittäisten takaisinostojen määrän odotetaan kasvavan Infinera-kaupan toteuttamispäivän jälkeen ja ohjelma lopetetaan, jos hankinta ei toteudu.


 

Takaisinosto-ohjelman keskeinen sisältö:


 

      Ohjelman tavoitteena on ostaa 150 miljoonaa osaketta, ja hankintaan käytettävä kokonaissumma on korkeintaan 900 miljoonaa euroa.


 

      Takaisinostot alkavat aikaisintaan 25.11.2024 ja päättyvät viimeistään 31.12.2025.


 

      Takaisinostojen tarkoituksena on alentaa Nokian omaa pääomaa uusien osakkeiden antamisesta aiheutuvan laimennusvaikutuksen kompensoimiseksi. Takaisinostetut osakkeet tullaan mitätöimään tämän mukaisesti. Takaisinostoihin käytetään Yhtiön sijoitetun vapaan oman pääoman rahastoa ja takaisinostot vähentävät Yhtiön vapaata omaa pääomaa.


 

      Takaisinostot toteutetaan Nokian yhtiökokouksen 3.4.2024 hallitukselle antaman valtuutuksen mukaisesti. Nokian osakkeita voidaan ostaa takaisinosto-ohjelman mukaan enintään 150 miljoonaa kappaletta, mikä vastaa noin kolmea prosenttia kaikista Nokian osakkeista.


 

      Osakkeet hankitaan julkisessa kaupankäynnissä Nasdaq Helsingin säännellyllä markkinapaikalla sekä tietyissä monenkeskisissä kaupankäyntijärjestelmissä. Omia osakkeita ei hankita Yhdysvalloissa. Nokia on nimittänyt ulkopuolisen välittäjän osakkeiden takaisinosto-ohjelman järjestäjäksi. Järjestäjä tekee kaupankäyntipäätökset itsenäisesti Nokiasta riippumatta. Takaisinostot toteutetaan ns. turvasatamamenettelyllä EU:n markkinoiden väärinkäyttöasetuksen (EU N:o 596/2014) 5 artiklan mukaisesti.


 

      Osakkeesta maksettava hinta määräytyy sen hankintahetkellä kullakin markkinapaikalla vallitsevan hintatason mukaisesti, noudattaen turvasatamamenettelyn mukaisia hinta- ja volyymirajoja.


 

Takaisinosto-ohjelma voidaan lopettaa ennen sen suunniteltua loppumisajankohtaa. Nokia julkaisee tällöin asiasta pörssitiedotteen.

The daily buyback volume is expected to increase following the completion of the Infinera acquisition, and the program will be terminated if the acquisition is cancelled.


 

The main terms of the share buyback program:


 

      The program targets to repurchase 150 million shares, for an aggregate purchase price not exceeding EUR 900 million.


 

      The repurchases will start at the earliest on 25 November 2024 and end latest by 31 December 2025.


 

      The purpose of the repurchases is to reduce Nokia's capital to offset the dilution from issuing additional shares. The repurchased shares will be cancelled accordingly. The repurchases will be funded using the Company's funds in the reserve for invested unrestricted equity and the repurchases will reduce the Company's total unrestricted equity.


 

      The repurchases are based on the authorization granted to the Board of Directors by Nokia's Annual General Meeting on 3 April 2024. The maximum number of shares that can be repurchased under the program is 150 million shares corresponding to approximately 3% of the total number of shares in Nokia.


 

      The shares will be acquired through public trading on the regulated market of Nasdaq Helsinki and select multilateral trading facilities. No repurchases will be made in the United States. Nokia has appointed a third-party broker as the lead-manager for the buyback program. The lead-manager will make trading decisions independently of and without influence from Nokia. The repurchases will be carried out in accordance with the so-called safe harbour rules referred to in Article 5 of the EU Market Abuse Regulation (EU N:o 596/2014).


 

      The price payable per share shall be determined in public trading on the relevant trading venue at the time of the repurchase, in compliance with the price and volume limits applicable under the safe harbour rules.


 

The program may be terminated prior to its scheduled end date and Nokia will in such case issue a stock exchange release to this effect.

Nokian hallitus päätti maksuttomasta osakeannista yhtiölle ja myöhemmin toteutettavasta suunnatusta osakeannista liittyen Infineran hankinnan suunniteltuun loppuunsaattamiseen


 

Espoo – Nokian hallitus on päättänyt uusilla osakkeilla toteutettavasta 150 000 000 osakkeen suunnatusta maksuttomasta osakeannista Nokia Oyj:lle. Uudet osakkeet tullaan käyttämään myöhemmin 27.6.2024 Nokia Oyj:n, Neptune of America Corporationin ja Infinera Corporationin solmiman sulautumissopimuksen ja -suunnitelman ("Sulautumissopimus") mukaisten yhtiön velvoitteiden täyttämiseksi.

Nokia odottaa, että uudet osakkeet rekisteröidään kaupparekisteriin arviolta 25.11.2024 ja liitetään Euroclear Finland Oy:n ylläpitämään arvo-osuusjärjestelmään arviolta 25.11.2024. Nokian osakkeiden kokonaismäärä rekisteröinnin jälkeen on 5 763 496 565. Uudet osakkeet jäävät Nokia Oyj:n haltuun Sulautumissopimuksen mukaiseen suunniteltuun sulautumisen toteutumiseen saakka ja niiden odotetaan tulevan hyväksytyiksi kaupankäynnin kohteeksi muiden Nokian osakkeiden (NOKIA) kanssa Nasdaq Helsingissä arviolta 26.11.2024 ja Euronext Pariisissa arviolta 27.11.2024. Euronext Pariisi julkistaa erillisen tiedotteen, kun se on hyväksynyt uusien osakkeiden ottamisen kaupankäynnin kohteeksi Euronext Pariisissa.

Lisäksi Nokian hallitus on päättänyt yhtiön hallussa edellä mainitun annin seurauksena olevilla omilla osakkeilla toteutettavasta, enintään 150 000 000 Nokian osakkeen (NOKIA) suunnatusta osakeannista kattaakseen Sulautumissopimuksen mukaiset velvoitteensa osakkeiden toimittamisesta osakkeisiin oikeutetuille Infinera Corporationin osakkeenomistajille sulautumisen toteutumisen yhteydessä Sulautumissopimuksen mukaisesti. Sulautumisen toteutumisen odotetaan tapahtuvan vuoden 2025 ensimmäisen vuosipuoliskon aikana. Suunnattu osakeanti on ehdollinen Sulautumissopimuksen mukaiselle sulautumisen toteuttamiselle ja Nokian osakkeen (NOKIA) merkintähinta tulee olemaan Nokian osakkeen (NOKIA) päätöskurssi Nasdaq Helsingissä Sulautumissopimuksen mukaisena sulautumisen toteutumispäivänä. Nokian osakkeet (NOKIA) toimitetaan Infinera Corporationin Nokian osakkeisiin (NOKIA) oikeutetuille osakkeenomistajille Nokian vaihtoagentin (eng. Exchange Agent) toimesta American Depositary Shares -osaketalletustodistusten muodossa.

Siltä osin kuin uusia liikkeeseen laskettuja osakkeita ei tarvittaisi Nokian Sulautumissopimuksen mukaisten velvoitteiden täyttämiseen, hallitus on päättänyt suunnatusta, enintään edellä mainittujen yhtiön itselleen liikkeelle laskemien uusien osakkeiden määrän mukaisesta maksuttomasta osakeannista Nokian ja Infineran osakepalkkio-ohjelmien osallistujille. Näihin palkkio-ohjelmiin sisältyvät Nokian pitkän aikavälin osakepalkkio-ohjelmat 2021‒2023 ja 2024‒2026, Nokian henkilöstön osakesäästöohjelma 2024–2026 sekä Infinera Corporationin vuoden 2016 osakepalkkio-ohjelma, jonka Nokia ottaa vastatakseen Sulautumissopimuksen mukaisen sulautumisen jälkeen ("Osakepalkkio-ohjelmat"). Sulautumisen saaminen päätökseen Sulautumissopimuksen mukaisesti on edellytys sille, että Nokia ottaa Infineran osakepalkkio-ohjelman vastattavakseen.

Jokainen osaketoimitus ja vastaava muutos omien osakkeiden määrässä julkistetaan erikseen pörssitiedotteena.

Osakeantipäätökset perustuvat varsinaisen yhtiökokouksen 3.4.2024 hallitukselle antamaan valtuutukseen.

Nokia Board of Directors resolved on issuing shares without consideration to the company and a subsequent directed issuance related to the planned completion of the Infinera Corporation acquisition


 

Espoo, Finland – Nokia's Board of Directors has resolved to issue 150 000 000 new shares in a directed share issuance without consideration to Nokia Corporation. The new shares will be later used to satisfy the company's obligations under the Agreement and Plan of Merger made and entered into as of 27 June 2024, by and among Nokia Corporation, Neptune of America Corporation and Infinera Corporation (the "Merger Agreement"). 

Nokia expects that the new shares will be registered with the Finnish Trade Register on or about 25 November 2024 and entered in the book-entry system maintained by Euroclear Finland Ltd on or about 25 November 2024. The total number of Nokia shares following the registration will equal 5 763 496 565. The new shares will remain in Nokia Corporation's treasury pending the planned completion under the Merger Agreement and are expected to be admitted to trading on Nasdaq Helsinki as of 26 November 2024, and on Euronext Paris as of 27 November 2024, together with other Nokia shares (NOKIA). Euronext Paris will publish a separate notice announcing the admission of the new shares to trading on Euronext Paris. 

Additionally, the Board of Directors has resolved on a directed issuance of a maximum number of 150 000 000 Nokia shares (NOKIA) held by Nokia Corporation, which the company holds in treasury as a result of the above-mentioned issuance to itself, to settle its commitments under the Merger Agreement in respect of shares to be delivered to eligible stockholders of Infinera Corporation upon the completion of the merger under the Merger Agreement. The completion under the Merger Agreement is expected to occur during the first half of 2025. The directed share issue is conditional on the completion of the merger under the Merger Agreement and the subscription price for the Nokia share (NOKIA) will be the closing price of the Company's share on Nasdaq Helsinki on the date of completion of the merger under the Merger Agreement. The Nokia shares (NOKIA) will be delivered to the eligible stockholders of Infinera Corporation by Nokia's Exchange Agent in the form of American Depositary Shares.  

To the extent that the newly issued shares would not be needed to settle Nokia's obligations under the Merger Agreement, the Board has resolved on a directed share issuance of up to the total amount of the aforementioned newly issued shares without consideration to participants of Nokia's and Infinera's equity programs. These programs include Nokia LTI Plans 2021‒2023 and 2024–2026, Nokia Employee Share Purchase Plan 2024‒2026 and 2016 Equity Incentive Plan of Infinera Corporation which will be assumed by Nokia following completion of the merger under the Merger Agreement ("Equity Programs"). The assumption by Nokia of the Infinera Incentive Plan is subject to the completion of the merger under the Merger Agreement. 

Each delivery of shares and the corresponding change in the number of Nokia's own shares will be published separately by a stock exchange release.  

The resolutions to issue shares are based on the authorization granted to the Board of Directors by the Annual General Meeting on 3 April 2024.
